# Super Micro's board is sued over the $2.5 billion of AI servers a contractor admitted went to China

> A derivative suit reported on October 16 puts Super Micro's directors and officers behind the export-control scheme prosecutors say moved $2.5 billion of AI servers to China. Damages would return to the company; the defense bill is the board's own.

## The directors are the defendants now

A [Super Micro](https://theinference.org/markets/companies/super-micro) shareholder has sued the company's own board [1]. The derivative suit, filed in a US federal court in the Northern District of California and [reported by the legal news service Law360 on Friday evening, October 16](https://www.law360.com/articles/2538866/super-micro-board-sued-over-alleged-china-diversions), accuses directors and officers of enabling an alleged scheme that sent AI technology to Chinese buyers in violation of export controls, and of misleading investors along the way [1].

Because the action is derivative, the shareholder sues on the company's behalf: any damages flow back to Super Micro, not to the plaintiff. What stays with the directors is the defense bill, discovery into what they knew, and whatever their directors-and-officers insurers choose to contest.

## A guilty plea sits underneath the suit

On March 19 the Justice Department and the FBI arrested Super Micro co-founder Yih-Shyan "Wally" Liaw, a board member who resigned after his indictment, on a charge of conspiring to move about $2.5 billion of the company's [Nvidia](https://theinference.org/markets/companies/nvidia)-loaded servers to China; the stock fell 27 percent the next day [2][3]. [The indictment describes dummy servers staged for inspectors](https://www.datacenterdynamics.com/en/news/supermicro-contractor-ting-wei-willy-sun-pleads-guilty-to-four-counts-associated-with-nvidia-chip-smuggling-charges/), serial numbers peeled off with hair dryers, and a Southeast Asian pass-through customer that booked $99.7 million of Super Micro revenue in the final quarter of fiscal 2024 [4].

On October 8, contractor Ting-Wei "Willy" Sun [pleaded guilty in Manhattan federal court to four counts](https://www.msn.com/en-us/news/other/super-micro-contractor-pleads-guilty-in-scheme-to-divert-ai-servers-with-nvidia-chips-to-china/ar-AA2dVPCo), including conspiracy to violate export controls and obstruction of justice [5]. The obstruction count is new: he admitted deleting an encrypted messaging app on the day of the arrests, faces up to 20 years, and will be sentenced on September 8, 2027 [3][4]. Sales manager Ruei-Tsang "Steven" Chang remains a fugitive, and Liaw has pleaded not guilty [6].

## The bulls' exhibit: a new CFO and $60 billion in orders

Super Micro itself is not a defendant [3]. It fired the two employees and the contractor within days of the arrests [2], and [an August investigation by its independent directors](https://theinference.org/article/an-indicted-co-founder-a-5-6-billion-raise-and-a-probe-of-super-micro-s-board) found no evidence that current senior management knew, even as the company fields a Manhattan grand jury subpoena covering its compliance program and internal controls, plus inquiries from the Securities and Exchange Commission and the Commerce Department's Bureau of Industry and Security [3].

On October 15 it named Mark Long, 59, [Western Digital](https://theinference.org/markets/companies/western-digital)'s former finance chief, [as chief financial officer, effective immediately](https://ir.supermicro.com/news/news-details/2026/Supermicro-Appoints-Mark-Long-as-Chief-Financial-Officer/default.aspx), ending a search that began in December 2024 after auditor EY resigned [7][3][9]. The brokerage Rosenblatt counts the fix as underway: analyst Sajal Dogra reaffirmed a Buy rating and a $51 target, about 45.5 percent upside, on more than $60 billion of new AI orders from over 20 clients [8], with management guiding fiscal 2027 revenue to $65–72 billion [9].

*Chart: **Revenue grew 78 percent in fiscal 2026, and management guides fiscal 2027 to $65–72 billion** Column chart of Super Micro revenue: $22.0 billion in fiscal 2025, $39.1 billion in fiscal 2026, and a guided $65–72 billion for fiscal 2027.*

*Fiscal years ended June 30. FY2025 and FY2026 are reported revenue from Super Micro's SEC filings; FY2027 is management guidance of $65–72 billion, per Benzinga, plotted at the $68.5 billion midpoint. [13][9]*

## Friday priced both camps at once

Then the financing question landed on top. [Barclays](https://theinference.org/markets/companies/barclays) cut [Hewlett Packard Enterprise](https://theinference.org/markets/companies/hewlett-packard-enterprise) and Dell to hold on Wednesday, arguing hardware strength owes more to memory prices than to demand [10]. On Friday morning, Super Micro traded 7 percent lower at $32.78, against 5 percent for HPE and 3 percent for Dell, on [Foreign Policy Journal](https://www.foreignpolicyjournal.com/2026/10/17/ai-financing-fears-drag-hewlett-packard-enterprise-nyse-hpe-down-5-super-micro-nasdaq-smci-sinks-7-and-dell-nyse-dell-falls-3/)'s intraday readings [10]; by [Benzinga](https://www.benzinga.com/markets/tech/26/10/62422037/super-micro-finally-names-a-cfo-nearly-two-years-after-an-accounting-review-prompted-the-search)'s later reading at publication, the stock was down 9.53 percent at $31.75 [9].

Rosenblatt's own case carries the discount: it sees gross margin near 11 percent in fiscal 2027, and bets that Long plus a clean fiscal 2026 audit narrow the governance gap [8].

*Chart: **Super Micro fell hardest in Friday's AI-hardware selloff** Bar chart of Friday percentage declines: Super Micro down 7 percent, HPE down 5, Dell down 3, a US tech ETF down 2 and the Nasdaq 100 fund down 1.3.*

*Intraday percentage moves on Friday October 16, 2026, per Foreign Policy Journal; Benzinga's later reading put Super Micro down 9.53 percent. [10]*

## Liaw's March 2027 trial becomes the clock that matters

Liaw's criminal trial, moved from November 2026 to March 2027, is where the calendars converge: his lawyer has told the judge that Super Micro's own documents could be material to his defense, the same records a derivative suit can demand [3]. Taiwan has indicted nine more people, reportedly including an Nvidia senior manager and two Super Micro employees [11], and [a separate federal securities suit already alleges](https://www.aol.com/articles/kuehn-law-encourages-investors-super-222000000.html) a significant portion of the company's server sales went to China-based buyers [12].

The open question is whether the board's own exposure widens the governance discount before Long's first audit can close it. Three readings will tell: whether Long's fiscal 2026 audit comes back clean, whether the directors' insurers contest coverage, and what Liaw's March 2027 trial puts on the record. Sun's plea settled where the servers went, and the derivative suit asks who at Super Micro booked them as revenue.

## Takeaway

Any damages in a derivative suit return to Super Micro; the directors keep the defense bill and the discovery, and three clocks decide the stock: Long's first audit, the insurers' coverage fight and Liaw's March 2027 trial.
