# Tesla's proxy paves a SpaceX merger that pays Musk on deal price alone

> Tesla's annual-meeting proxy, published Monday for a December 3 vote, pays Musk on a deal's price alone in a change of control, seats a SpaceX director over both committees that police him, and turns retail voting into a standing instruction for the board. When an exchange ratio arrives, it is Tesla's minority holders whose money moves.

[Tesla](https://theinference.org/markets/companies/tesla)'s [proxy for its December 3 annual meeting](https://www.sec.gov/Archives/edgar/data/1318605/000110465926116700/tm267596-1_def14a.htm) does not propose a [SpaceX](https://theinference.org/markets/companies/spacex) merger [1]. What the filing published on Monday does is assemble every piece of machinery a merger vote would run on, and each piece pays [Elon Musk](https://theinference.org/markets/people/elon-musk) or removes a check on him [1]. No filing or statement says a deal has been agreed [1]. What exists today is machinery built to receive one [1].

## In a change of control, the milestones disappear

The 2025 CEO Performance Award normally pays only when a market-value milestone and an operational milestone are hit together [1]. In a change in control, the proxy states, unearned shares are earned on market capitalization alone and vest immediately [1]. The first tranche sits near $506 a share, a $2 trillion valuation on the share count in the filing [2]. Near $759, a $3 trillion deal, three tranches vest at once with no robotaxi, Optimus (Tesla's humanoid robot) or EBITDA (cash operating profit) milestone met [2].

*Chart: **Deal value alone vests the award: one tranche at $2 trillion, three at $3 trillion** Column chart of tranches of Musk's 2025 CEO Performance Award earned in a change of control, by Tesla's market value in the deal: zero below $2 trillion, one at $2 trillion, two at $2.5 trillion, three at $3 trillion*

*Tranches earned on market capitalization milestones alone in a change in control, against Tesla's market value in a deal; each tranche is 35.3 million shares. Normal terms also require an operational milestone. Source: Tesla 2026 proxy statement. [1]*

Musk's June option exercise left him 286.4 million restricted shares, normally locked until January 2028 [1]. A change in control while he is chief executive, or running product or operations, vests them immediately [1]. Whether a Tesla-SpaceX combination counts as a change in control [depends on how it is structured](https://electrek.co/2026/10/19/tesla-tsla-proxy-annual-meeting-spacex-merger/); both of his packages are built to pay quickly if it does [2].

| Package | Normal terms | In a change in control |
| --- | --- | --- |
| 2025 CEO Performance Award | A market-value milestone and an operational milestone must be hit together | Unearned shares are earned on market capitalization alone and vest immediately |
| 286.4 million restricted shares from the June option exercise | Locked until January 2028 | Vest immediately while Musk is chief executive or runs product or operations |

## The referee sits on SpaceX's board

Ira Ehrenpreis, a Tesla director since 2007, chairs both the compensation committee and the governance committee that reviews directors' conflicts [1]. Since February he has also sat on SpaceX's board, and Tesla still classifies him as an independent director [1]. With Musk and his brother Kimbal, who has served on SpaceX's board, three of nine directors are tied to the counterparty [2]. The directors on the December ballot would serve until 2029 [2].

Musk owns about a fifth of Tesla while controlling roughly 85 percent of SpaceX's votes, so he sits on both ends of any ratio the boards set [2]. The award was sold as pay for building robotaxis and Optimus, yet Tesla's own accounting rates exactly one of its twelve operational milestones as probable [2]. A deal would pay anyway [2].

## The retail default becomes a standing yes

The proxy also launches Tesla's Voluntary Retail Voting Program [1]. Shareholders who vote through platforms like ProxyVote or [Robinhood](https://theinference.org/markets/companies/robinhood) can enroll a standing instruction for future meetings, and both instruction choices follow the board's recommendation on everything [1]. The only carve-out, covering contested elections and mergers, must be chosen deliberately [1]. There is no vote-against option [1].

The instructions do not apply on December 3; they start with the next meeting [1]. Since Musk [unveiled a flying Roadster at a SpaceX facility](https://nypost.com/2026/10/16/business/wall-street-kalshi-bettors-eye-spacex-tesla-merger-in-wake-of-flying-car-demo/), a merger has become "the consensus expectation" in [Barclays](https://theinference.org/markets/companies/barclays)' words, and the bank expected Tesla to push retail participation higher before such a vote [3]. Enrolled shares are counted for the board's position unless their owner logs in and overrides, and Tesla's only commitment is a reminder beforehand [1]. This program is that push, with a default yes built in.

## The ratio is where the money moves

Tesla's minority shareholders are the ones who absorb a ratio set without a referee, in a business whose net income nearly halved in 2025 while revenue fell for a second straight year [2]. SpaceX, public since June at a $1.8 trillion valuation, reports earnings this week, and [analysts are already publishing predicted merger prices](https://www.investors.com/news/elon-musk-spacex-tesla-merger-trump-accounts/) [4][5]. On Monday Musk pinned a [pledge to give every American child one SpaceX share next year](https://www.capitalbrief.com/briefing/musk-pledges-spacex-share-for-every-us-child-next-year-a853abc6-71ad-469b-b972-6ae4230da708/), roughly $10.5 billion at the current price [4].

*Chart: **Net income is down about 75 percent from 2023 while revenue stalls** Column chart of Tesla's annual revenue and net income from fiscal 2020 to 2025: revenue rises from $31.5 billion to a $97.7 billion peak in 2024, then slips to $94.8 billion, while net income climbs to $15.0 billion in 2023 and falls to $3.8 billion by 2025*

The December ballot carries three items: the directors, the auditor, and a say-on-pay vote, an advisory ballot on the $158 billion of 2025 pay the accounting assigns Musk [1]. Musk said in July a combination would have to be done "with the appropriate process" [2]. This proxy is that process: it pays him on the price, and the price was the one thing minority holders needed a referee for.

## Opting out of the default yes takes a deliberate choice

To keep a default yes out of any later merger vote, a holder chooses the carve-out instruction when enrolling, or simply does not enroll [1]. When a ratio is announced, read it against $506 and $759 [2].

## Takeaway

Tesla's December 3 proxy assembles the machinery a SpaceX merger vote would run on: pay that vests on deal price alone, a referee who sits on SpaceX's board, and a retail default that follows the board. No deal is agreed; minority holders would absorb the ratio.
