# Texas Governor-elect Gina Hinojosa wants a SpaceX pause as Goldman syndicates $40 billion of chip debt

> Goldman and Apollo are syndicating $40 billion of SpaceX chip debt secured against a Texas buildout that the state's new governor-elect wants paused. Lenders bought pre-election terms into a post-election state.

Governor-elect Gina Hinojosa, the first Democrat elected Texas governor since 1990, [has asked for a pause on state land talks with SpaceX](https://www.bloomberg.com/news/articles/2026-11-05/texas-governor-elect-requests-pause-on-land-talks-with-spacex), days after unseating Greg Abbott, one of the company's closest allies [1]. The request lands on a balance sheet that was priced in October, before a single vote was counted.

## The money priced in October

[SpaceX](https://theinference.org/markets/companies/spacex) committed in late October to a [roughly $40 billion master finance lease](https://finance.yahoo.com/technology/ai/articles/goldman-apollo-talks-sell-spacex-211021473.html), managed by an Apollo-backed vehicle, to buy about $47.3 billion of [Nvidia](https://theinference.org/markets/companies/nvidia) Rubin chips, with [Goldman Sachs](https://theinference.org/markets/companies/goldman-sachs) now syndicating slices, including an $8.3 billion senior loan, to Wall Street buyers [5]. The rent is unconditional: no force majeure, no residual value guarantee, rent owed regardless of equipment condition or casualty [5].

## The buildout the state can slow

That debt is secured against a buildout sitting in Texas: the [Terafab](https://theinference.org/markets/companies/terafab) data center and semiconductor plant planned for Grimes County, and a supercomputer at the Starbase launch site [2]. [Deutsche Bank analysts wrote this week](https://www.cnbc.com/2026/11/05/tesla-spacex-stocks-fall-after-2026-midterms.html) that SpaceX's Texas compute capacity could face delays and that capex may need to rise under anticipated data-center regulation [2]. Hinojosa made data centers a campaign issue, calling for a moratorium on new approvals until the legislature passes stronger rules on water, electricity costs and local control [2].

## Who holds the paper

The revenue side carries its own fragility. [Anthropic](https://theinference.org/markets/companies/anthropic)'s [IPO filing shows up to $120.5 billion of compute commitments](https://finance.yahoo.com/technology/ai/articles/anthropic-discloses-120-5-billion-140613686.html) with SpaceX through 2029, but the contracts can be terminated by either side on 90 days' notice after early 2027 [6]. [Morgan Stanley](https://theinference.org/markets/companies/morgan-stanley) has [cut its SpaceX borrowing forecast to $390 billion](https://www.theinference.ai/article/morgan-stanley-cut-spacex-borrowing-forecast) and KeyBanc counts $475 billion of needed capex [4]. The midterms then handed Democrats both chambers of Congress, congressional probes into Starlink's Ukraine restrictions are underway, and SpaceX and [Tesla](https://theinference.org/markets/companies/tesla) shed over $420 billion of combined market value in two days [2].

*Chart: **October priced $40 billion of debt against a Texas buildout the state may slow** Bars ranking SpaceX's Texas-facing obligations: Anthropic compute commitments at up to $120.5 billion, GPU equipment cost at about $47.3 billion, and the $40 billion chip-financing lease, all disclosed in October 2026 and priced before the midterm election shifted the regulatory backdrop.*

*US$ billions, disclosed October 2026, before the November 4 midterms. Anthropic figure is a contractual maximum cancellable on 90 days' notice. Sources: Anthropic S-1 via Yahoo Finance (6); Bloomberg via Yahoo Finance (5). [5][6]*

The counterpoint: SpaceX's obligations to lenders are absolute while its revenue contracts are cancellable, so the political pause squeezes timing, not solvency [5][6]. What to watch next: whether Hinojosa's moratorium becomes law in the January legislative session, and whether Goldman's syndication clears before the rules do.

## Takeaway

SpaceX's $40 billion chip lease was priced under pre-election Texas; its new governor-elect wants approvals paused, so the absolute rent meets a political clock.
