# The $6 billion bank merger that died because its bankers refused to sign

> Perella Weinberg and Piper Sandler abandoned their $6 billion all-stock merger after too many senior Perella bankers refused multi-year lock-ups. The stalled consolidation of independent M&A advisers now gets priced on October 28, when Evercore reports third-quarter results with three banks' target cuts behind it.

The $6 billion all-stock merger between Perella Weinberg and Piper Sandler [died on October 14](https://www.msn.com/en-us/money/other/perella-weinberg-piper-sandler-abandon-merger-talks-source-says/ar-AA2ef9Xu) because the assets being bought were people, and the people would not sign. [1] [2] Dozens of senior Perella bankers had been asked to accept [multi-year lock-ups](https://tradersunion.com/news/financial-news/show/3815116-perella-weinberg-piper-sandler-merger-fails/) binding them to the combined firm, and enough refused that the talks collapsed. [1] [2] The question it leaves behind, whether M&A advisers can buy their way to scale, now gets priced where investors can trade it: [Evercore](https://theinference.org/markets/companies/evercore) reports third-quarter results on October 28. [3]

Piper Sandler, a Minneapolis bank built on middle-market deals, would have joined Perella Weinberg, an advisory firm that earns just under $1 billion a year in fees and is valued at barely more. [1] When the collapse was reported, Perella's shares closed 19% lower while Piper's edged higher. [2] The asymmetry follows from what was for sale: an advisory firm's revenue is its bankers' relationships, and a buyer cannot price relationships it cannot bind.

## The same week cut Evercore down to size

Independent advisers sell M&A advice and nothing else, with no lending desk or trading arm behind it, and the listed ones compete for talent, scale and client reach; Perella Weinberg trails listed rivals including Evercore, Lazard, Moelis and PJT Partners. [1] Evercore alone [is worth about $10.5 billion](https://www.ad-hoc-news.de/boerse/news/nebenwerte/bofa-senkt-ziel-fuer-die-evercore-aktie-auf-367-dollar/70313289), more than the abandoned combination. [4]

Inside eight days, [Goldman Sachs](https://theinference.org/markets/companies/goldman-sachs), [Morgan Stanley](https://theinference.org/markets/companies/morgan-stanley) and [Bank of America](https://theinference.org/markets/companies/bank-of-america) each [cut their Evercore price targets](https://www.ad-hoc-news.de/boerse/news/nebenwerte/morgan-stanley-senkt-ziel-fuer-die-evercore-aktie-von-363-auf-315-usd/70278899), with BofA citing weaker strategic and sponsor-backed, meaning private-equity-backed, M&A than the prior quarter; none changed its rating. [5] [4] The average analyst target is now $335. [6] The shares sit just above their 52-week low of about $251. [4]

*Chart: **Three banks cut Evercore's target in eight days and kept their ratings** Evercore price targets before and after cuts by Goldman Sachs, Morgan Stanley and Bank of America in October 2026*

*Twelve-month price targets in US dollars per share; bank moves reported by Markets Insider and The Globe and Mail and carried by Ad Hoc News, average of nine analysts via FactSet on TradingView, October 2026. [4][5][6]*

## Analysts cut their targets on deal flow, not on Evercore itself

The downgrades track the M&A calendar, not the franchise. Evercore's revenue doubled year on year into a [record first quarter of 2026](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001360901), and the second quarter still beat consensus. [7] [5] Third-quarter consensus sits below what the firm booked in the same quarter of 2025, which would be its first year-over-year decline since the end of 2023. [7] [5] Bankers describe M&A demand as resilient; the problem is delay, with valuation gaps and tighter IPO pricing pushing transactions back. [1]

*Chart: **Evercore's revenue doubled in a year, and consensus now sees it slip** Evercore quarterly net revenues from Q3 2023 to Q2 2026 as reported, with the Q3 2026 analyst consensus estimate*

*Quarterly net revenues in billions of US dollars from Evercore's SEC filings; the final point is analyst consensus of $963M for Q3 2026 via Business Quant. [7][5]*

The delays are landing where AI investors watch closest. Firmus, an Australian data-center builder backed by [Nvidia](https://theinference.org/markets/companies/nvidia), [pulled a flotation this month](https://finance.yahoo.com/technology/ai/articles/collapse-20bn-data-centre-deal-053000779.html) that it had sought at as much as A$44 billion, and [CoreWeave](https://theinference.org/markets/companies/coreweave), a US-listed AI data-center business, watched some of its high-yield bonds fall to a record low. [8] Floats and debt financings are the fee events that fill an advisory quarter, and both are being delayed. [8] [1]

## Evercore is hiring senior bankers instead of buying a rival

Evercore's route to scale is the individual. This month it [took John Song and Jean Stack from Baird](https://www.businesswire.com/news/home/20261014201224/en/Evercore-to-Announce-Third-Quarter-2026-Financial-Results-and-Host-Conference-Call-on-October-28-2026), another investment bank, to expand aerospace and defense; the two have nearly $50 billion of closed deals behind them since 2021. [3] It added a senior managing director in Frankfurt and [hired Hans Vestberg, who ran Verizon as chairman and chief executive until October 2025 after leading Ericsson, as a senior advisor](https://finance.yahoo.com/technology/articles/hans-vestberg-joins-evercore-senior-120000464.html). [9]

Chairman and chief executive John Weinberg presents third-quarter results on October 28. [3] [Consensus sits at $963M of revenue](https://www.tradingview.com/news/tradingview:c91b72fa4b624:0-evercore-inc-stock-12-month-price-target-cut-to-335-44-implies-23-upside/). [5] A beat supports hiring over merging as the way to consolidate this tier through a slow patch; a miss confirms the banks' October repricing was only the beginning.

## Takeaway

The Perella Weinberg-Piper Sandler merger died because the asset being bought, senior bankers, refused to be bound, and Evercore's October 28 quarter will price whether independent advisers can still grow by hiring rather than merging.
