# TSMC confirmed talks on Musk's $16.8 billion Terafab and set one condition: TSMC runs it

> TSMC confirmed live talks on Elon Musk's $16.8 billion Texas chip project and set one condition: TSMC runs the fab. The standoff is not about money but about process control, and record results are what let TSMC hold the line.

On [its October 15 earnings call](https://thenextweb.com/news/tsmc-terafab-musk-wei-must-run-fab), [TSMC](https://theinference.org/markets/companies/tsmc) confirmed negotiations over [Terafab](https://theinference.org/markets/companies/terafab), the [Tesla](https://theinference.org/markets/companies/tesla)-[SpaceX](https://theinference.org/markets/companies/spacex)-[xAI](https://theinference.org/markets/companies/xai) chip project in Grimes County, Texas, and its chief executive C.C. Wei set one condition: "the fab got to be run by TSMC" [1]. The condition is the substance of the deal, not an opening bid. TSMC, the world's largest contract chipmaker, sells the running of advanced chip plants, and [Musk's sublease offer](https://theinference.org/markets/people/elon-musk) would leave it a tenant in a factory someone else operates [6][2].

Terafab's first phase, about $16.8 billion, broke ground in August on a former coal plant site, targeting roughly a terawatt of annual AI compute for Musk's cars, robots and data centers [2][1]. A week before the call, [Musk posted that his companies would build and operate the plant themselves](https://theinference.org/article/musk-says-tesla-and-spacex-will-build-and-run-terafab-tsmc-gets-at-most-a-sublease-and-intel-fell-3-2): "Maybe TSMC subleases part of the Terafab if they want, but nothing more than that" [2].

## Musk wants iteration speed; TSMC is selling yield

Musk's reasoning is genuine. He wants a research fab that can make, test and revise about ten chip designs a year under one roof, against roughly two years for a single significant design to reach volume production today [3]. His framing concedes the catch: "I have no idea how to make chips, but we'll figure it out" [3].

Wei's refusal has a technical basis. Advanced fabs are not interchangeable cleanroom shells: each runs proprietary process flows, tools, materials and yield-management systems tuned together, and yield, the share of chips that come off the line working, is knowledge the operator accumulates over decades [4]. A TSMC line sharing a campus with [Intel](https://theinference.org/markets/companies/intel)-derived manufacturing would in practice be a separate fab, not a conventional sublease [4].

## Every TSMC joint venture abroad is run by TSMC

That is also the only template the company has. On the call, an analyst asked whether a Terafab deal would follow TSMC's joint ventures in Japan and Germany, both of which TSMC runs [1]. "We are still in discussion," Wei said, offering no timeline [1].

Reporting on the talks assumes the same shape: TSMC owns and operates a Texas fab, and SpaceX signs on with equity or guaranteed purchase agreements [5]. If no deal lands, the process of record becomes [Intel's 14A, its next-generation node](https://theinference.org/article/musk-says-tesla-and-spacex-will-run-the-16-8-billion-texas-fab-on-intel-s-unproven-14a-process) [4]. Intel has been a development partner since April, and its chief executive Lip-Bu Tan said last week the company stays [2][1].

## The record quarter pays for the standoff

TSMC can hold this line because it is turning business away. Analyst Sravan Kundojjala of the chip research firm [SemiAnalysis](https://theinference.org/markets/companies/semianalysis) notes that TSMC screens customer orders for the financing and parts needed to actually deploy the systems, and demand still comes out well above its supply [6].

The record explains the confidence. [Net profit hit NT$763.1 billion, up 68.7 percent, a sixth consecutive quarter of record earnings](https://www.cnbc.com/2026/10/15/tsmc-third-quarter-profit-global-ai-.html) [6]. Dollar revenue rose 41 percent, and fourth-quarter sales are guided to $52.3–54.3 billion [1]. The stance is underwritten by a $265 billion US buildout, a finished second fab in Arizona and Texas site scouting already under way [6][1].

## Each side's owners carry a different risk

For investors the split is clean. TSM holders get a Texas fab on TSMC's terms or none; Intel holders own the fallback node; Tesla shareholders and SpaceX's private backers carry the risk that Terafab learns chipmaking on the job.

The signals to watch are concrete: formal announcements from TSMC or SpaceX on who does what, how Intel's 14A process would coexist with a TSMC line on one campus, and construction progress at the Gibbons Creek site [2]. The terawatt becomes real when the tools are run by people who already know the work, and on October 15 the best operator in the business named its price: control.

## Takeaway

TSMC confirmed live talks over Musk's $16.8 billion Terafab but will join only if it operates the fab itself; a sixth straight record quarter, Q4 sales guided to $52.3-54.3 billion and a $60-64 billion 2026 budget give it the leverage to hold that line while Musk's fallback is Intel's 14A.
