# Two funds bought Cerebras into its unlock; insiders sold $395 million first

> ARK Invest and Privium disclosed bigger Cerebras stakes in the same window the company's insiders were selling. The last locked shares free up Monday, before a Wednesday report that has to carry the 2027 triple.

[Cerebras Systems](https://theinference.org/markets/companies/cerebras-systems), which builds AI computers around a processor cut from a whole silicon wafer, faces its biggest float event this week. Its early holders can start selling, and the disclosed money puts both sides of that trade on record.

[ARK Invest](https://theinference.org/markets/companies/ark-invest), [Cathie Wood](https://theinference.org/markets/people/cathie-wood)'s firm, [disclosed buying Cerebras in trades dated November 5](https://www.gurufocus.com/news/9180243/ark-invest-adjusts-tech-holdings-focus-on-nvda-spcx-and-cerebras), alongside a $134 million sale of [Broadcom](https://theinference.org/markets/companies/broadcom) [1]. The buy landed the day the stock touched $77.84, its low since the May listing [3]. Privium Fund Management raised its stake 83.5% in the third quarter [2]. Insiders have sold 1.92 million shares over the past 90 days [2][3]. That tally is worth $394.6 million [3]. [The last locked shares free up Monday under the 180-day mark](https://theinference.org/article/cerebras-cto-sells-192-million-ahead-of-looming-lockup-expiry), before [Wednesday's report](https://theinference.org/article/cerebras-rallied-9-on-altman-s-praise-but-openai-s-20-billion-revenue-gap-sets-a-november-test) [4][5]. This is a supply event, not a demand event: whoever buys the incoming float into a falling tape pays for it, and the funds already positioned do not.

## The supply has been arriving in waves, not in one event

The IPO lockup has been [dissolving on a published schedule](https://www.fool.com/investing/2026/09/21/cerebras-shares-are-coming-out-of-lockup-in-waves-here-s-the-date-that-matters-most/) since the stock listed in May, not waiting for a single expiry [5]. The company's estimate put the ten early-release dates at 171 million shares [5]. Cerebras has about 238 million shares outstanding [5].

The stock's roughest stretches this year ran alongside the release calendar [5]. Bears were already positioned: [short interest ran above 11% of the float](https://finance.yahoo.com/technology/ai/articles/cerebras-cbrs-turn-25-4b-121046316.html) in mid-October [9]. What remains is the wave with no published number, freed on whichever comes first: Monday's 180-day mark, or two trading days after the November 12 report [4][5].

## The insiders' sales were scheduled; the funds' buys were not

The largest disclosed sale, by COO [Dhiraj Mallick](https://theinference.org/markets/people/dhiraj-mallick) on September 29, halved his position under a pre-arranged Rule 10b5-1 plan [2]. CTO [Sean Lie](https://theinference.org/markets/people/sean-lie) and two directors sold on the same pre-arranged terms [2][3]. A 10b5-1 plan commits a seller in advance, so those prices say less about management's view this week than about the level the plans were written at [2].

The funds' adds, by contrast, were discretionary buys into the falling tape [1][2]. Scheduled exits written when the stock was worth far more, versus deliberate buys at its new price: that is the disagreement, on the record.

## The funds bought through the short report

Culper Research [went short on October 28](https://theinference.org/article/cerebras-s-customer-pays-3-to-5x-for-2-000-tokens-a-second-culper-research-says-the-wafers-fail-in-2-years), claiming Cerebras' wafers break down after about two years [4]. ARK bought Cerebras shares through October 28 and 29, into the drop the report caused [6]. Cerebras [answered on November 5 in a post](https://www.cerebras.ai/blog/what-it-took-to-build-wafer-scale-and-why-it-lasts) from CEO Andrew Feldman [7]. [TSMC](https://theinference.org/markets/companies/tsmc), the wafer's manufacturer, qualified it for ten years of continuous operation at 105°C [7].

The deployed fleet's average junction temperature sits far under that ceiling, and less than half of one percent of CS-3 wafers have been decommissioned since the system launched in 2024 [7]. A short seller modeled a two-year wafer; the builder answered with a foundry qualification, fleet data, and a decade of learning curves. Investors can check that record, and the buyers this month appear to have done so.

## What has to survive the unlock

Consensus has Cerebras' revenue more than tripling next year [4]. The last print, in August, carried revenue up 74% year over year and an adjusted loss per share far wider than analysts modeled [2][3]. The [OpenAI](https://theinference.org/markets/companies/openai) agreement, the largest line in a $25.4 billion backlog that rests on a handful of named customers [9], covers 750 megawatts of Cerebras systems from 2026 through 2028 [8].

Feldman [told a Palo Alto summit on November 4](https://x.com/Midnight_Captl/status/2118047773220352020) that data-center moratoriums would push more than half of Cerebras' deployed capacity outside the US [10], the risk the market priced on Thursday when the chip index fell 12% on midterm fears [4]. Against all of it, the stock now trades at 13 times forward sales, against a 36x average since its listing [4].

## The unlock tests the price, not the demand

Nothing in Monday's unlock changes the backlog, the OpenAI agreement, or the durability record [7][9]. What it decides is who owns the next stretch of the float, and at what price. The disclosed adds are small money: Privium's whole position is worth about $20 million [2], a fraction of the shares still to free [5].

[Analysts' average target sits near three times Friday's close](https://finance.yahoo.com/markets/stocks/articles/cerebras-sinks-18-week-coreweave-140618974.html) [4], but that entry has to be earned by the report. Monday frees the shares. Wednesday prices them. The investor choice is whether to take that bet before the supply arrives, or let the unlocked stock set the price first.

## Takeaway

Monday frees the last locked shares and Wednesday's report must carry the consensus 2027 revenue triple; insiders' scheduled sales and the funds' discretionary buys put both sides of the trade on record.
