# Verisk surrenders its 15-month fight to escape the $2.35 billion AccuLynx deal, leaving the FTC the last gate

> The Delaware Supreme Court affirmed the order forcing the insurance-data group to complete the $2.35 billion AccuLynx purchase it terminated in December. Verisk will comply, it said Friday, and the FTC review is the last door.

## A press release ends a fifteen-month escape

[Verisk](https://theinference.org/markets/companies/verisk-analytics), the Jersey City insurance-data analytics company, said Friday it "[will proceed in accordance with the Court's order](https://www.globenewswire.com/news-release/2026/10/23/3387525/0/en/verisk-comments-on-delaware-supreme-court-order-regarding-acculynx.html)" and complete its $2.35 billion acquisition of AccuLynx, the software platform roofing contractors use to run their businesses [1][7]. The Delaware Supreme Court on Thursday affirmed [the lower-court judgment that forced the deal back to life](https://www.usnews.com/news/top-news/articles/2026-08-07/delaware-judge-orders-verisk-to-proceed-with-2-35-billion-acculynx-deal) [1]. Verisk signed on July 29, 2025, expected to close within two months, and terminated in late December after the Federal Trade Commission's review ran past a December 26 deadline [4][5].

## One email, six days after signing

The escape failed because of what a Verisk vice president of products did in the deal's first week. Six days after signing, he emailed [ServiceTitan](https://theinference.org/markets/companies/servicetitan), an AccuLynx competitor, to end talks on an "enhanced integration" of Verisk's Xactimate pricing data into ServiceTitan's estimating software, citing the AccuLynx acquisition as the reason [2][3]. ServiceTitan told the FTC, which built a "market reset" theory around the snub and [issued a Second Request, a document demand that turns a 30-day review into months](https://www.jdsupra.com/legalnews/verisk-analytics-v-acculynx-sorry-you-5203459/), in October 2025 [3][5].

## Willful meant voluntary, not wrongful

In August, Vice Chancellor Bonnie David of the Delaware Court of Chancery ruled the termination invalid "because its willful conduct caused the failure of a condition to closing": willful meant voluntary, not wrongful [2][5]. She found no bad faith; Verisk had met FTC staff nearly 30 times and spent $6 million on outside counsel plus $2 million on document vendors [2]. Verisk said it "strongly disagree[d]," appealed on August 18, and lost [8][3]. AccuLynx's owner, ExactLogix, also collected $3.85 million in direct costs with interest [2][6].

## The bill already sits on the balance sheet

Verisk shares fell more than 6.5% after the August ruling [6]. The financing showed up long before the verdict: debt jumped 50% year over year in the quarter the deal was originally due to close, and it has not come back down [9]. At the end of June, Verisk [carried $4.62 billion of debt against $551 million of cash](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001442145) [9].

*Quarterly cash and total debt, USD billions, Q3 2024 through Q2 2026, from Verisk's SEC filings. The AccuLynx purchase was originally expected to close in Q3 2025. [9]*

## The FTC can still say no

Compliance is not a closing. Verisk's own statement keeps the exits open: the transaction "remains subject to the satisfaction of customary closing conditions and FTC review, and there is no guarantee that the transaction will be completed" [1]. The antitrust firm Axinn reads the ruling as handing AccuLynx's owners leverage to negotiate a settlement, effectively a reverse break fee Verisk would pay to walk [3].

## November 5 prices the surrender

Verisk reports fiscal third-quarter 2026 results on November 5, the first print that carries the deal it fought to escape [1]. Two numbers decide the cost: whatever the FTC demands in full Second Request compliance, and whether AccuLynx will sell its court victory back for less than $2.35 billion [1]. The courts made Verisk a buyer; only the regulator or the seller can still make it not one.

## Takeaway

Verisk will complete the $2.35 billion AccuLynx acquisition after the Delaware Supreme Court ended its 15-month escape attempt, and only FTC review or a negotiated exit can still stop it.
