# Vertiv paid $1.45 billion for UtilityInnovation Group to sell data centers a way around the power queue

> Vertiv paid $1.45 billion upfront, with up to $1.15 billion more contingent, to sell data centers a way around the utility interconnection queue. The first print carrying the deal's cash cost lands October 28.

[Vertiv](https://theinference.org/markets/companies/vertiv) [closed its acquisition of UtilityInnovation Group](https://www.prnewswire.com/news-releases/vertiv-completes-acquisition-of-utilityinnovation-group-302919810.html) on October 27, paying about $1.45 billion upfront and agreeing to as much as $1.15 billion more if the business hits EBITDA targets over the next 12 and 24 months [1]. The deal matters because of where it sits on the chain that turns AI models into running data centers: after the chip and the cooling system comes the wire, and the wire is where new capacity now waits for years in utility interconnection queues. Vertiv just bought the equipment and the engineering that let a data center generate and manage its own power instead.

UIG, founded in 2020 in Raleigh, builds microgrid controls, orchestration for onsite generation and storage, and behind-the-meter power architecture [2]. That plugs directly into what Vertiv already sells, the power and thermal systems between the grid and the rack. The combination means one vendor can now take responsibility from the grid interconnect to the chip, and can build site capacity beyond what the utility line alone would carry.

## The bottleneck moved upstream, and Vertiv paid to sit on it

CEO [Giordano Albertazzi](https://theinference.org/markets/people/giordano-albertazzi) frames access to power as the competitive advantage in AI data centers. That is the constraint moving upstream, and Vertiv is buying a position at the new choke point rather than waiting for grid operators to catch up.

The price tells you how durable Vertiv thinks the scarcity is. At the upfront cost the deal runs about 13 times UIG's [expected 2027 EBITDA](https://www.sec.gov/Archives/edgar/data/1674101/000162828026067393/0001628280-26-067393-index.htm), a multiple that drops if the [full earnout](https://theinference.org/article/vertiv-bets-up-to-2-6-billion-that-ai-s-bottleneck-is-the-wire) gets paid, meaning UIG's owners only collect the full $2.6 billion if the power-scarcity business compounds [2]. Vertiv expects the deal to add to adjusted earnings per share in year one [2].

## The first test is tomorrow's print

Vertiv reports third-quarter results on October 28, the first report to carry the deal's cash cost and the first chance to size the behind-the-meter business [1]. Watch whether management quantifies that line. If it stays vague, the market is being asked to price the strategy before it can measure it.

## Takeaway

Vertiv closed its purchase of UtilityInnovation Group for about $1.45 billion upfront, buying the behind-the-meter power controls that let data centers sidestep utility interconnection queues; the 13x expected 2027 EBITDA price and the year-one earnings test at tomorrow's third-quarter print are what to judge it on.
