# Vertiv's only Sell rating, at $188, comes down to a $3.65 billion revenue line

## The lone Sell on a quiet tape

[Vertiv](https://theinference.org/markets/companies/vertiv) fell 3.5% on October 7 after GLJ Research's Gordon Johnson [initiated coverage at Sell with a $188 target](https://finance.yahoo.com/markets/stocks/articles/why-vertiv-vrt-stock-down-224047908.html), resting on a 2027 adjusted EBITDA estimate that sits below consensus [1]. The shares recovered to $244.73 by the close, still down 3.3%, still up 39.4% for the year and 35% below the May high of $376.23 [1].

It is the only Sell among [20 analyst ratings logged in the past three months](https://www.tipranks.com/stocks/vrt/forecast), against 18 buys, one hold and an average target of $326 [3]. That $188 sits roughly 23% below the $244.73 close: the distance between GLJ's 2027 EBITDA path and the 56.2 times earnings the market pays for Vertiv, against 21.5 for the index [2].

## The de-rate came before the number

The slide started long before the note: down 20% over three months while the S&P 500 gained about 4%, with no financial results since July 29 [2]. The macro leg is real. The 10-year Treasury yield hit 5.14% in late September, a level last seen in 2007, and Vertiv fell 2.6% that day [1]. Eaton lost 3.09%, Emerson 1.35% and nVent 3.44% in the same October 7 session, a power-chain slide rather than a Vertiv story [2].

GLJ put a price on a move already underway, and on a crowded long: the stock returned 252% in 2023, beating every company in the S&P 500, and only joined the index in March 2026 [7]. The freshest calls still run the other way: BMO initiated at Buy on October 5, Vertical Research on September 29, Wells Fargo on September 25 [3].

## The record is real, and the customers pay ahead

[The July filing](https://www.sec.gov/Archives/edgar/data/1674101/000162828026050323/q22026exhibit991vrt07292026.htm) shows the machine working. Q2 net sales were $3,274 million, up 24%, operating profit rose 44%, and trailing revenue reached $11.5 billion against $9.1 billion a year earlier, with operating margin roughly doubled from three years ago [4][2].

The tell is who pays ahead: deferred revenue, cash banked before delivery, doubled to $3,634 million by mid-year, and the quarter closed in a net cash position [4]. The long owns the compounding; the Q3 guide is what has to keep it compounding.

## Below $3.65 billion, minor becomes a verdict

The July release itself called the Q2 wobble "minor timing shifts", citing temporary supply chain congestion and multi-phased project execution, and guided Q3 net sales to $3,650 million to $3,850 million, implying 34% to 36% organic growth [4]. EMEA organics fell 2.4% in the quarter, and management expects growth there to return in the second half [4][2].

Consensus sits at $3.75 billion, and the Street's low estimate, $3.59 billion, already lies beneath the company's own floor [3]. William Blair called the volatility transitory on July 30; Bernstein reiterated a $368 buy on the day of the drop [3]. Last year's Q3 landed on October 22, and [this year's date is not yet posted](https://investors.vertiv.com/news/default.aspx) [6].

Below $3.65 billion, the word "minor" stops being an explanation and becomes a verdict.
