# Virginia puts NextEra's $67 billion Dominion takeover on trial

## A $67 billion deal meets a state that can say no

Virginia's State Corporation Commission [opened its first local hearing on the takeover in Newport News](https://www.utilitydive.com/news/virginia-lt-gov-announces-opposition-to-dominion-nextera-merger/832369/) on October 7, 2026; a second follows in Fairfax County on October 9, and the evidentiary hearing starts November 17 [1]. Lieutenant Governor Ghazala Hashmi called the merger "not in the best interest of Virginians" in a report released the day before, from a five-city listening tour [1]. Governor Abigail Spanberger has stopped short of a verdict but entered the case on August 17 as a respondent, a role that preserves an appeal to the Supreme Court of Virginia [1].

Shareholders of both companies [approved the all-stock deal on September 3](https://www.ad-hoc-news.de/boerse/news/corporate-news/dominion-energy-stock-edges-lower-as-merger-with-nextera-clears-key-shareholder-hurdle/70056164), at 0.8138 NextEra shares per Dominion share [2]. ## The evidence, dated

On September 14 the companies [doubled residential bill credits to $10 a month for four years](https://www.wtvr.com/news/local-news/dominion-nextera-bill-credits-sept-14-2026), added $100 million to the EnergyShare assistance fund and promised 1,000 direct jobs [4]. The attorney general answered on September 18 that the package is substantial enough to restart the 180-day review clock from September 14 rather than July 15; the commission has not ruled [1]. On the ground, 6,015 Appomattox County landowners were just notified about the Zeus transmission line feeding a proposed data center [5].

The asset in dispute keeps growing. ## The defense: efficiency, credits, not one cent

Dominion chief executive Bob Blue argued that the deal's efficiencies do the work: "when you can finance more efficiently... when you can build more efficiently, those are all ultimately good for the customers" [8]. The written promise is blunter: "Customers will not pay one cent for this combination" [4]. ## Riskier entities versus power built at home

Hashmi's report calls [NextEra](https://theinference.org/markets/companies/nextera-energy) "thousands of individual project entities, many in businesses far riskier than a regulated utility," and says it has offered no assurances on future acquisitions or SCC review [1]. If forecast demand fails, residential customers risk "paying for even more of the cost of what NextEra builds" [1]. NextEra's reply: the merger would "help Virginia build more power here at home," with [Dominion Energy](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0000715957) Virginia staying fully regulated by the SCC [1].

## The commission speaks only through its calendar

The SCC has decided nothing yet: hearings added, the clock motion unresolved, November 17 kept [1]. The spending underneath is Dominion's own record, [capital outlays topping operating cash flow in every one of the past 12 quarters](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0000715957), with $65 billion more planned through 2030 behind a 5-7% growth outlook [9][6].

## The dates that reprice the deal

Public comment closes November 9 [10]. The evidentiary hearing opens on the 17th, an order is expected in January 2027, and the companies still guide to a close in the second half of 2027 [1][4][10]. If the deal breaks, the 53.8 GW pipeline and its capex stay on Dominion's books; if it closes, NextEra's 130-GW book absorbs them and [Virginians get $10 a month for four years](https://theinference.org/article/nextera-s-67-billion-dominion-bid-pays-virginia-households-with-data-centers-credits) [1][4]. The credits expire. The wires do not.
