# Walmart Is 90.5% of Symbotic's Revenue and Just Promised $6 Billion More

> The October 29 contract has no walk-away clause and bars Walmart from cutting the $6 billion commitment unilaterally. What is left is pace: the backlog uplift is Symbotic's own estimate, and Walmart already supplies 90.5% of its revenue.

## The pop faded before the close

[Symbotic](https://theinference.org/markets/companies/symbotic), the warehouse-automation company run by chairman and CEO Rick Cohen, [filed an 8-K, the form companies file with the SEC for material events, on October 29, 2026](https://www.sec.gov/Archives/edgar/data/1837240/000119312526437874/d182210d8k.htm): an Enterprise Master Automation Agreement under which [Walmart](https://theinference.org/markets/companies/walmart) committed roughly $6 billion over several years [1]. [Shares rose 3.7% in premarket trading the next morning](https://finance.yahoo.com/markets/stocks/articles/symbotic-stock-jumps-6b-walmart-130611189.html) [3], then [closed up 1.4% at $37.93](https://finance.yahoo.com/quote/SYM/). That is $1.91 above the 52-week low of $36.02, down 50.9% over a year, for a market value of $23.0 billion [7].

## What the money buys

[The program extends Symbotic automation, including its BreakPack each-picking and SymMicro micro-fulfillment systems, across 25 US regional distribution centers](https://www.symbotic.com/news/walmart-and-symbotic-expand-commercial-agreement-to-support-supply-chain-transformation/) [2]. $125 million of the total funds development of next-generation racking under a development-program addendum; the rest buys systems under market-program addenda, under which Walmart commits to purchase them [1].

The money sits on top of the 2022 agreement covering all 42 of Walmart's regional distribution centers and a January 2025 deal in which Symbotic bought Walmart's Advanced Systems and Robotics unit for $200 million, signed on for 400 micro-fulfillment systems conditioned on performance metrics, and collected $520 million of Walmart development funding across the deal's first two anniversaries [6]. Symbotic expects the new commitment could add up to $6.92 billion to backlog, its signed work not yet booked as revenue [1]; backlog stood at $22.5 billion on June 27, 2026 [5].

*Chart: **The backlog alone is more than eight years of Symbotic sales** Bar chart comparing Symbotic's reported backlog of 22.5 billion dollars as of June 27, 2026, a potential Walmart addition of up to 6.92 billion dollars marked as an estimate, and trailing twelve-month revenue of 2.65 billion dollars*

*Backlog as of June 27, 2026, per the 10-Q; the up-to $6.92 billion addition is Symbotic's own estimate in the October 29, 2026 8-K, not an order; revenue is trailing twelve months per Yahoo Finance at the October 30, 2026, close. US$ billions. [1][5][7]*

## How sticky the money is

The commitment may not be reduced without mutual written consent, and the agreement sets out amounts Walmart owes Symbotic if it buys fewer systems than committed [1]. [The termination article lists no convenience exit](https://www.sec.gov/Archives/edgar/data/1837240/000119312526437874/d182210dex101.htm). Walmart's exits are Symbotic's uncured material breach, insolvency, a Symbotic change of control involving a Restricted Entity whose definition is bracketed out of the filed exhibit, and failure to meet performance standards on the project time schedule [4].

Even that last route has a price: the CPS-failure exit in Section 16.6(b) obliges Walmart to pay Symbotic's Stranded Costs, the contract's term for unrecoverable costs [4]. The calendar is the flexible part, because the expected timeline lets Walmart adjust its allocation of modules, the contract's unit of system purchase, among calendar years [4].

## Dependence written into governance

Walmart held about 13% of Symbotic's stock as of September 27, 2025, while Cohen and his family's trusts control 69.3% of the vote [6]. The new agreement lets Walmart confidentially recommend one independent board nominee while it owns more than 5% of the equity, and name two non-voting board observers while it represents more than 50% of revenue over four trailing Walmart fiscal quarters [1].

It also restricts Symbotic from selling to one specified company, whose name the filings do not give [1]. Concentration had been easing, then turned: [Walmart's share of revenue was 88.4% in fiscal 2023, 86.9% in 2024 and 84.6% in 2025, then 87.0% for the nine months ended June 27, 2026, with the June quarter alone at 90.5%](https://www.sec.gov/Archives/edgar/data/1837240/000183724026000043/sym-20260627.htm) [5][6].

## The bulls have a real contract to cite

The optimistic case rests on documents, not mood. The dollars are locked by mutual consent, the performance exits carry Stranded Costs, and Walmart has enlarged the program three times; [the 2022 expansion alone added about $6.1 billion to backlog and got built](https://www.sec.gov/Archives/edgar/data/1837240/000183724025000278/sym-20250927.htm) [6]. What the contract does not fix is how fast the backlog turns into revenue.

At the past year's pace of $2.65 billion, the existing $22.5 billion equals more than eight years of sales [5][7]. Litigation tests the credibility of the numbers: the Decker securities class action survived part of its dismissal motion on July 23, 2026 [5], and on October 10 The Inference reported [a Delaware derivative suit alleging that executives concealed a contractor's failures behind the Walmart backlog](https://theinference.org/article/a-delaware-suit-says-symbotic-brass-concealed-a-contractor-s-failures-behind-its-walmart-backlog) [8].

## November 23 is the tell

Fiscal fourth-quarter results land on November 23, 2026 [7]. Two readings matter: how much backlog converts into revenue, and where Walmart's revenue share sits against the contract's own 50% observer threshold [1][5]. Walmart never has to terminate anything to slow Symbotic down. The timeline locks the total, and Walmart may shift its module allocations from one calendar year into the next; each shift leaves the backlog intact while pushing the revenue further out.

## Takeaway

Walmart's $6 billion Symbotic commitment locks the total but not the calendar: the backlog uplift is Symbotic's own estimate, Walmart may shift module allocations between years, and it already supplies 90.5% of revenue, so November 23 results are the test of pace.
