# Xcel adds $2 billion of 2027 converts to a $70 billion AI grid plan that runs to 2031

> Today's 8-K puts $2.0 billion of convertible notes due 2027 on the stack, earmarked for commercial paper, not the build. Whether existing customers or new data centers repay the $70 billion plan is a ruling Minnesota and New Mexico regulators have yet to make.

[Xcel Energy](https://theinference.org/markets/companies/xcel-energy) [filed an 8-K today announcing a $2.0 billion private placement of convertible senior notes due 2027](https://www.sec.gov/Archives/edgar/data/72903/000119312526442653/0001193125-26-442653-index.htm), with a $300 million option for the initial purchasers, and said the proceeds will repay commercial paper and a portion of a 364-day delayed draw term loan [1]. The paper falls due before the first year of the $70 billion capital plan it sits beneath has earned into rate base [1].

This is a term-out of working capital, not build money: it buys two years on a plan that runs to 2031, and it arrives before any regulator has said who ultimately repays that plan [2]. [Shares fell about 3% in pre-market trading on the announcement](https://www.rttnews.com/3707175/xcel-energy-announces-2-bln-convertible-notes-offering-with-300-mln-option-shares-fall-3.aspx) [2].

## Bridge paper under a five-year plan

Four days ago Xcel [raised its 2027 to 2031 capital plan to $70 billion from $60 billion](https://www.rackline.news/earnings/report/1b6h87), with about $7 billion of it for data center projects already under contract [3] [4]. The financing stack it gave: operating cash supplies $35.8 billion after dividends and pension funding, new debt $26.2 billion, and [equity $8 billion, of which more than 40% is already contracted through forwards on 79.4 million shares](https://theinference.org/article/xcel-s-70-billion-grid-plan-starts-with-a-6-billion-stock-sale) [3].

Total debt reached $40.6 billion at the end of September, 62% of capitalization, and [Moody's](https://theinference.org/markets/companies/moody-s) carries a negative outlook on the holding company's Baa1 rating [3]. Nine months of operating cash covered just over half of capital spending, and the shares issued so far this year cost 10 cents of the quarter's $1.52 in ongoing earnings [3]. Today's convert adds to the short end of that stack, and because conversions settle in cash up to principal, with cash or shares for any excess, the dilution question stays open until pricing sets the conversion price [1].

*Chart: **Operating cash leads the $70 billion plan, with $26.2 billion of new debt behind it** Bars showing how Xcel Energy's $70 billion 2027-2031 capital plan is funded: $35.8 billion from operating cash after dividends and pension funding, $26.2 billion of new debt and $8 billion of equity, of which more than 40% was already contracted.*

## The regulator decides who repays

Xcel's stated principle is that existing customers should not subsidize new large loads, enforced through large load tariffs with incremental cost tests, minimum bills and exit protections [5]. Its test case is [Google's Pine Island data center in Minnesota](https://theinference.org/article/google-s-minnesota-data-center-xcel-counts-1-1-billion-in-savings-the-watchdog-counts-1-billion-in-costs), where Google pays all costs of its new service and Xcel estimates $1.1 billion of benefits to other customers; [a commission ruling on that agreement and the proposed 1,900 MW Clean Energy Accelerator Charge is expected in early 2027](https://datacenterfeed.com/article/xcel-energy-70-billion-capital-plan-data-centers-november-2026) [4].

The same utility asked on October 9 to freeze base rates for 2027 and 2028, with a ruling requested by January [4]. In New Mexico, exceptions to the rate stipulation were due today, with new rates expected in December [3].

## Growth promised, funding short-dated

Until those rulings land, the growth story and the funding story run on different clocks. Xcel [promises 9%-plus average earnings growth to 2031](https://stockanalysis.com/stocks/xel/transcripts/719949-q3-2026/) [5], while the instruments raised this week mature inside 2027. The convert buys time, not permission.

If the Minnesota freeze holds and the Pine Island charge fails, the unpriced cost of the build sits on the balance sheet, where the negative Moody's outlook already lives. The decision for anyone buying the 9% story is whether four months of regulatory rulings in Minnesota, this winter, settle who repays a five-year plan that today's paper only postpones.

## Takeaway

The $2 billion convert is bridge money, not build money: Minnesota and New Mexico rulings between December and early 2027 decide who repays Xcel's $70 billion plan.
