# ZoomInfo gives away AI agents while a class action targets the seats it sells

> Agent Teams shipped into every ZoomInfo contract at no new charge on October 1; eight days later a shareholder firm opened a probe into what officers knew about slowing seat demand. The complaint says weak seat sales doomed the 2026 guide; ZoomInfo's own fix is to bill for consumption instead.

## Fifty agents, zero new charge

On October 1, 2026 [ZoomInfo](https://theinference.org/markets/companies/zoominfo) switched on Agent Teams inside GTM Studio, its existing product: AI agents that run sales plays from signal to outreach, "[with no new SKU or contract required](https://finance.yahoo.com/technology/ai/articles/zoominfo-introduces-agent-teams-powered-123000443.html)" [1]. Founder-CEO Henry Schuck launched it with a line aimed at the seat-era playbook: "Revenue doesn't follow a flowchart" [1]. The platform ships more than 50 ready-made agents [2], on orchestration architecture that had arrived a day earlier in the [DoubleO.ai acquisition](https://finance.yahoo.com/technology/ai/articles/zoominfo-acquires-doubleo-ai-ai-123000516.html), terms undisclosed [3][2]. No major GTM data vendor had ever bundled agent orchestration instead of pricing it [2].

## The suit beneath the probe

On October 9, Johnson Fistel [opened an investigation into ZoomInfo's officers and directors](https://supplychaindigital.com/globenewswire/3378243) on behalf of holders since November 2, 2025 [4]. Beneath it sits [a securities class action filed June 26 in Seattle federal court](https://www.koin.com/news/washington/the-truth-emerges-vancouver-based-zoominfo-faces-class-action-suit-from-investors/) by investor Ivan Tejada, naming Schuck and CFO Graham O'Brien, spanning November 3, 2025, to May 11, 2026 [5].

The complaint alleges "overwhelmingly positive" statements concealed "slowing seat-based demand, weakening upsells and customers revising decisions to purchase AI products," leaving the 2026 full-year guide "increasingly unlikely to be met" [5]. None of it is proven; the case is pending.

## A record quarter in November, a third of the stock gone by May

The chronology: record Q3 revenue and a raised 2025 outlook on November 3, then [a 2026 guide of $1.247–1.267 billion on February 9](https://www.businesswire.com/news/home/20260730722940/en/GTM-Shareholder-Alert-Investors-With-Losses-May-Seek-to-Lead-the-Class-Action-in-ZoomInfo-Technologies-Securities-Lawsuit---Contact-Levi-Korsinsky) [6]. On May 11, after Q1 results, the guide fell to $1.185–1.205 billion and the stock dropped from $6.04 to $4.06, about 33% [5][6]. That same month, Schuck announced plans to lay off 20% of the workforce [5][7].

*Chart: **The 2026 guide: cut about 5% in May, only partly restored by August** Range chart of ZoomInfo's full-year 2026 revenue guidance: 1.247 to 1.267 billion dollars in February, cut to 1.185 to 1.205 billion in May, raised to 1.207 to 1.217 billion in August*

*Full-year 2026 GAAP revenue guidance as issued on each date, USD billions; all three are company guidance, not results. February and May ranges per the class-action chronology; August range per the Q2 2026 earnings call. [5][6][7]*

## Twelve quarters in one gear

The plateau predates the lawsuit. Quarterly revenue has sat between $292 million and $319 million for three years [8]. The second quarter of 2026 closed at $310 million, up 1.2%, with retention down a point at 89%, downmarket contract value down 12%, and [a $651 million goodwill impairment tied to the post-Q1 collapse in market value](https://finance.yahoo.com/markets/stocks/articles/zoominfo-gtm-q2-2026-earnings-215902511.html) [7].

*Chart: **Twelve quarters in one gear: revenue pinned between $292M and $319M** Line chart of ZoomInfo quarterly revenue from Q3 2023 to Q2 2026, holding between roughly 292 and 319 million dollars with no sustained growth*

*ZoomInfo GAAP revenue by calendar quarter, USD millions, Q3 2023 to Q2 2026, from its SEC filings. [8]*

## The agents are free, the credits are not

On the August call, management said per-seat customers will move to pricing "built around pre-bought consumption," and that no upside from new products is baked into guidance [7]. Asked what behavior the new model should drive, O'Brien answered: "Consumption. It's just about consumption." [7] Agent Teams shows a credit estimate before every play runs [2]. Orchestration is the giveaway; usage is the bill.

## Small sales, loud tape

The insider prints are modest and scheduled. CRO James Roth sold 20,773 shares on October 2 at $3.7003, about $77,000, [under a Rule 10b5-1 plan](https://www.stocktitan.net/sec-filings/GTM/form-4-zoom-info-technologies-inc-insider-trading-activity-d0b64f1cd90c.html), keeping 270,507 shares [9]. O'Brien [filed Form 144 on October 9 to sell 5,000 shares](https://www.stocktitan.net/sec-filings/GTM/144-zoom-info-technologies-inc-sec-filing-7d8733dbe2b7.html) worth about $20,004 [10].

The company itself bought back $28 million of stock in the second quarter at an average $4.51 [7]. The tape still paid 2.5% for a ClickUp connector on October 9 before [closing at $3.91, down 59.4% for the year](https://finance.yahoo.com/markets/stocks/articles/why-zoominfo-gtm-stock-trading-011510697.html) and 66.9% below the $11.80 high set the month the class period opened [11].

The Q3 guide of $298–301 million is the next number the free agents have to defend [7].

## Takeaway

ZoomInfo bundled agent orchestration into every existing contract on October 1 while moving customers toward pre-bought consumption credits, a pricing pivot that lands eight days after a shareholder probe and mid-lawsuit over slowing seat demand. Revenue has been pinned between $292 million and $319 million for three years, the 2026 guide was cut about 5% in May, and the Q3 range of $298–301 million is the first number the free agents have to defend.
