Klaviyo insiders sold $193 million as Jefferies ties Salesforce's $5.66 billion Braze deal to a takeout
Jefferies calls the Braze deal the spark for a Klaviyo takeout, but Braze's 2,770 enterprise accounts and Klaviyo's 205,000 merchants are different assets, and Klaviyo's insiders sold $193 million without buying a dollar.

Salesforce's−1.88% — Salesforce, down 1.88 percent today $5.66 billion agreement to buy Braze, signed October 20, 2026, at $47.50 a share in cash, was billed as a validation of customer-engagement software 1. Within days it became a valuation story about Klaviyo−2.54% — Klaviyo, down 2.54 percent today, the Boston-based marketing platform for e-commerce brands, whose shares jumped as much as 13.5% on the news 2. Jefferies+1.69% — Jefferies, up 1.69 percent today called the Braze−0.09% — Braze, down 0.09 percent today deal "the spark" that could lead to a Klaviyo takeout 4. The template fits Braze almost too well
Braze is a clean multiple: fiscal-2026 revenue of $738.2 million, up 24%, roughly 7.7 times trailing sales, across about 2,770 customers, 349 of which pay over $500,000 a year 1. At $5.66 billion, Salesforce paid about $2 million per Braze customer 1.
The premium ran about 58% over the prior close, and Braze rallied 51.5% on the day 2. Note what the price also says: $47.50 sits about 27% below the $65 Braze sold at in its November 2021 IPO 1. A strategic buyer paid a big premium and still handed back the IPO price.
Where the arithmetic breaks
Run Braze's template on Klaviyo and the denominator changes shape. Klaviyo reported Q2 2026 revenue of $370.6 million, up 26%, raised full-year guidance to $1.526-1.534 billion, and counts more than 205,000 customers 2. That is roughly $7,500 of annual revenue per customer, against Braze's roughly $266,000 12. A buyer of Klaviyo would be acquiring 205,000 small merchants, not 349 enterprise accounts 12.
Pricing offers little help. Klaviyo trades at 933.8 times trailing earnings, with 18.6x forward 3. The stock closed at $19.61 on October 20, 41% below its $33.36 52-week high 3.
Klaviyo's growth keeps decelerating, from 35% to 26% in two years

The insiders are not waiting
The people closest to the numbers have not bought the story. Klaviyo insiders sold $193.0 million of stock over the past twelve months against $0.3 million of buying 3. GuruFocus rates the company's profitability 1/10 and growth 0/10, despite financial strength of 8/10 3. Growth is still real, just decelerating: 34% year-over-year two years ago, 26% last quarter 6.
What is actually for sale
The takeout camp is pricing an acquirer that does not exist in the record 2. The bull case that needs no buyer is the operating one: 26% growth at 18.6x forward earnings 23. Watch Braze's preliminary proxy statement, where the negotiation background and any competing approaches will surface 1.
