Sea's C-suite banked about $18M; shareholders got the compute bill

A selling vehicle emptied to zero

The British Virgin Islands entity controlled by Chen Jingye, Shopee's chief product officer, sold 60,000 Sea shares on 17 and 18 September at $99.58 to $103.17, then sold its final 60,000 on 21 and 22 September at $100.77 to $103.82 ¹². The second lot alone grossed $6,167,153↗ ³. The vehicle now holds zero Sea stock; Chen keeps 9,126,574 shares directly ².

Three more officers sold into the same days. COO Ye Gang sold 40,000 shares for about $4.08 million, and CFO Hou Tianyu sold 15,000 for about $1.52 million ⁴⁵. Compliance chief and general counsel Wang Yanjun added roughly €214,000, bringing the cluster to four officers and about $18 million ⁶.

The AI bill arrived the same week

The Form 4s reached EDGAR between 21 and 23 September↗ ¹²⁴⁵. On 23 September, Sea announced it was the first enterprise in Southeast Asia to adopt NVIDIA's Vera Rubin platform↗, to "develop and deploy AI models and intelligent agents at scale" ⁷⁹. NVIDIA had staged its AI Day Singapore showcase the day before ⁸. The pledge carried no dollar figure ⁷.

The substance behind it is real, and it is a compute story. Compass, Shopee's homegrown 245-billion-parameter model, now runs the majority of the platform's AI traffic, and monthly API tokens grew from 3 billion to 340 billion in eight months↗, per NVIDIA ¹⁰.

The sellers kept their stakes

Nothing in the filings says the sales were a view on the AI bill. The three plans were adopted on 19 March, 21 May and 10 June, months before the announcements ⁴⁵². Ye still holds 20,396,405 shares directly and Hou 2,383,015 ⁴⁵. Revenue rose 48.1 percent to $7.8 billion in the June quarter, the fastest pace in eight quarters ¹¹.

The market has not paid for that growth. SE closed at $99.55 on 25 September, down 1.17 percent on the day↗, a $60.97 billion market cap, and the stock is down more than 40 percent over twelve months while the Street holds a Strong Buy consensus and an average target near $157 ¹²⁶.

The September quarter decides it

Friday's close sat three cents below the cheapest print in the officers' filing range↗ ¹²¹. The next Shopee GMV number will say whether the sellers or the believers were early. Rule 10b5-1 makes the sales routine; the calendar makes them loud.
