Intuitive Surgical settles hospitals' da Vinci antitrust case for $450 million; the conduct terms are unread

Intuitive settled the hospitals' da Vinci antitrust class action for $450 million plus injunctive relief nobody outside the deal has read. The cash is priced; the conduct terms are not, and they land on the instruments aftermarket the case was built around.

Intuitive−5.93% — Intuitive, down 5.93 percent today reported a quarter tonight that beat on both lines, and the stock still fell about 7% after hours. 2 What moved it was not the quarter. It was the settlement disclosed inside it: $450 million to end the hospitals' da Vinci antitrust class action, plus injunctive relief that nobody outside the deal has read. 1 The cash is priced to the penny. The conduct terms are not, and they land on the part of Intuitive that compounds.

The case targeted the instruments aftermarket from the start

The litigation dates to 2021, when hospital systems including Franciscan Alliance and Seattle's King County public hospital district sued in the Northern District of California over how Intuitive restricts service and repair of the EndoWrist instruments its robots consume. 3 In March 2024 the court ruled that an antitrust aftermarket exists for repairing those instruments and that Intuitive holds monopoly power in it, then vacated those findings four months later for trial; in March 2025 it certified the class and set trial for September 14, 2027. 3 An October mediation produced tonight's agreement: a one-time payment, no admission of liability, mutually agreed injunctive relief, and approval still owed from the court. 1

The charge landed on a quarter that did not need the help. Revenue was $3.05 billion, up 22%. 1 Procedures grew about 15%. 1

The unpriced term lands where the money recurs

Follow the economics the plaintiffs attacked. Instruments and accessories brought in $1.80 billion of the quarter, revenue that arrives each time a hospital runs a procedure on one of the 12,094 systems already installed, more than 10,000 procedures a day by the company's own count. 1 That aftermarket is why Intuitive guides gross margin to 68.7% to 69.3% while it narrows procedure growth to 14% to 15%. 1 2

If the injunctive relief loosens repair restrictions or third-party access to that aftermarket, it taxes the recurring engine rather than the one-time charge. If it reads as process and disclosure commitments, the deal is close to free for a company that spent $2.94 billion buying back its own stock this quarter. 1 The release does not say which, and that is the gap the after-hours sellers were pricing from behind, on a stock that already sat far below its high after this year's derating. 2 5

The document to read has not been filed

Here observation stops and projection begins. The decree's operative terms arrive with the motion for preliminary approval the settlement now awaits, and that filing, not the payment, separates a fine from a business-model change. 1 Class members can object and the court can refuse, so even the cash leg stays open for now. 1 The market sold first and will read the terms later. The payment closes a 2021 lawsuit; what the relief does to the aftermarket decides what this franchise earns from here.
