Sandisk Sold Its Flash Future for $93.9 Billion, Then Bet $31 Billion on More Fabs

Ten contracts with eight buyers lock in at least $93.9 billion at floor prices and cover two-thirds of fiscal 2028 output. Behind them sits $31 billion of Japan capex through 2032, contingent on Tokyo and longer-lived than the deals themselves.

The charge: NAND sold like a utility, not a commodity

Ten supply agreements with eight datacenter and edge buyers carry committed volumes, minimum financial guarantees, and price floors with ceilings: at least $93.9 billion of revenue if every variable price settles at its floor, backed by $16.5 billion of guarantees if a customer walks 1. They cover more than half of fiscal 2027 bits and about two-thirds of fiscal 2028's 12.

That is the case behind a 644% gain this year and an S&P 100 debut on 21 September 34. Rosenblatt initiated coverage with a $2,400 target, arguing AI systems now prioritize density, performance and supply certainty over the lowest absolute price 3.

The evidence: two-thirds of the boom was price

Fourth-quarter revenue, for the period ended 3 July, reached $8.97 billion, up 51% sequentially and 372% year over year, on $6.90 billion of GAAP net income 5. Gross margin hit 84.6%, from 26.2% a year earlier 6. Datacenter supplied about a third of sales, rising 103% sequentially to $2.977 billion 45.

About two-thirds of that growth was pricing, not volume 5. Fiscal 2026 closed at $20.25 billion of revenue, up 175%, against a $1.64 billion loss a year earlier 1. TrendForce projects contract-price growth slowing from 70–75% last quarter to 10–15% now 6.

Committed dollars, US$ billions. NBM minimum is contracted revenue at floor prices across ten agreements with eight buyers, weighted-average duration of more than four years, company-claimed. Japan capex is the joint Kioxia and Sandisk plan through 2032, contingent on Japanese government support (estimate). Buyback is the August 2026 authorization. Who buys what the book leaves

The contracted book takes the first two-thirds of fiscal 2028 output at floored prices; phones, PCs and other spot buyers bid for the residual third, and that sliver sets the price of everything outside the agreements 2. TrendForce's July survey found PC and smartphone buyers already at the limit of what they will pay at record contract prices 6.

If the AI buildout stalls before the fabs finish, the losses land on the uncontracted sliver, on spot buyers priced out of a datacenter-first book, and on Japanese taxpayers, since Tokyo's support for the $31 billion plan is not yet secured 78. Management expects datacenter to go from about 30% of the NAND market in calendar 2025 to roughly 50% this year 5.

The exhibits: a model with no down year in it

Management's fiscal 2028–2030 framework assumes mid-to-high-teens revenue growth, gross margins near 80%, and all excess cash returned to shareholders, with an added $14 billion buyback authorized in August 24. The current quarter is guided to $10.30–10.80 billion of revenue and $44.00–46.00 of non-GAAP EPS 5.

The prosecution: the floors are a secret, the concrete is not

Sandisk has never disclosed where its price floors sit, and whether they clear the level NAND trades at in the next glut is the one test no filing can settle in advance 9. One sell rating argues the contracts lock in floor pricing that itself signals future NAND price declines 10.

Samsung, SK Hynix, Micron and partner Kioxia are all adding bits 9. The new capacity lands no earlier than the second half of 2027, so pricing stays firm until then and the glut, if it comes, arrives on a delay 6.

Kioxia and Sandisk have pledged more than $31 billion in Japan through 2032, including a ¥1.8 trillion fab at Kitakami, inside a joint venture extended to December 2034 712. The contracts put a floor under Sandisk's quarters; the concrete puts no ceiling on the industry's supply.

The defense: the multiple already assumes the bust

Rosenblatt's $2,400 target implies roughly a third of upside, and 24 of 28 analysts rate the stock a buy 3. September's executive sales ran under pre-scheduled 10b5-1 plans, 12–15% below the $1,791.82 the shares touched into their 21 September S&P 100 debut 11. Eight times forward earnings is a top-of-cycle memory multiple, cheap only if the floors hold 49.

The verdict watch: November, priced

The fiscal first-quarter report, due in early November, is the first live test of the contracted book 49. Micron reports on 30 September as the read-across 11. The number to watch is not revenue; it is how much of the guide is price.
