Tesla's $1.53 billion cash beat was unpaid bills, and it lands in the $3.5 trillion SpaceX merger talks

The surprise cash came from deferred spending and unpaid bills rather than stronger operations, and it lands in the middle of the SpaceX merger price negotiation. January's fourth-quarter report is the test.

Tesla chief executive Elon Musk at a Tesla town hall. His company's third-quarter cash beat, built on underspending and unpaid bills, now sits inside the price negotiation over a merger with SpaceX.

Tesla's−3.59% — Tesla, down 3.59 percent today third-quarter cash triumph was mostly a schedule change. It booked $1.53 billion of free cash flow in a quarter Wall Street expected to burn nearly $5 billion, but the surprise came from spending less than planned and paying bills later, not from stronger operations: net income still fell 43 percent on flat revenue 13. That flattered balance sheet now lands in the middle of the price negotiation over a roughly $3.5 trillion merger with SpaceX−2.96% — SpaceX, down 2.96 percent today, Musk's other public company 2.

The beat was underspend and unpaid bills

Capital spending came in at $4.73 billion against roughly $7.5 billion analysts had modeled, an underspend worth close to half the whole beat 1. Another $2.59 billion of operating cash flow was working capital, mostly unpaid supplier bills, more than the quarter's entire reported free cash flow; strip it out and Tesla burned cash 1. Chief financial officer Vaibhav Taneja then cut the 2026 capital budget to about $20 billion from more than $25 billion, calling it efficient deployment, while saying spending keeps expanding for years 14.

The promise list did not get cheaper

Nothing the money is meant to build got cheaper: robotaxis, Optimus humanoid robots at least a year away from 20,000 units a week, the Terafab semiconductor plant Tesla is building with SpaceX at a cost Musk puts in the tens of billions through early 2028, training compute set to nearly double by year-end, and about five million cars a year by 2030 against roughly 2.5 million expected this year 146.

Chief executive Elon Musk says demand already exceeds production by a significant margin 5. Analysts still model negative $10.24 billion of 2026 free cash flow, which needs a fourth-quarter burn Tesla has never run, and negative $9.35 billion in 2027; Tesla has not said what it cut, nor how much of the reduction simply moves into next year 16.

The cut moves the bill to 2027; it does not shrink it.

The quarter strengthens Musk's hand at the merger table

SpaceX approached Tesla in recent weeks, Reuters reports, and the structures on the table include an all-stock merger under a new holding company 7. Special committees formed at shareholders' request are running the process without Musk, who owns nearly a fifth of Tesla and just under half of SpaceX 78. Insiders fear his public endorsement of the deal revives the litigation over Tesla's 2016 SolarCity buyout, which ended with directors paying $60 million to settle 7. Tesla's own books carry a $140 million mark-to-market loss on its SpaceX stake 2.

January is when the bill starts arriving

Tesla's buffer is real, about $45 billion of cash plus an undrawn $30 billion credit line 1. But a quarter built from timing is not evidence that the AI build-out got cheaper, and anyone pricing Tesla into this merger should read it that way. The fourth-quarter print in January, with spending due near $7 billion, is the test 1.
