Anthropic's IPO lands in Morgan Stanley's AI-fear window; its S-1 shows an $80.7 billion loss, mostly paper

Anthropic's S-1 shows $16.3 billion of first-half revenue, a $974 million quarterly operating profit and an $80.7 billion loss that is mostly paper. The largest IPO ever is set for mid-November, the same weeks the lead bank's own strategist expects AI fears to peak.

Dario Amodei, Anthropic's co-founder and chief executive, at the New York Times DealBook Summit in December 2025. The company he co-founded filed the largest IPO registration in history on October 26.

Anthropic$350B — Anthropic, private, latest valuation $350B, the San Francisco lab behind the Claude models, made the registration document for its initial public offering public on October 26, 2026, applying to list Class A shares on the Nasdaq Global Select Market under the ticker ANT 1. The Economist calls it one of the largest offerings ever, if not the largest, with a debut as soon as November 2.

A relay of the filing points to a listing the week of November 16 3; marketing to institutions could begin the week of November 9, roughly a week before the debut 4. No price and no share count yet: those arrive in a later amendment 5.

The $80.7 billion loss is mostly paper, and the operating line flipped positive

First-half revenue was $16.286 billion against $1.163 billion a year earlier, about 1,300% growth, and already above the whole of 2025's $4.585 billion 5. The second quarter alone delivered $11.6 billion of revenue and a $974 million operating profit, against an operating loss of almost $1.7 billion the quarter before 2. The $80.7 billion half-year net loss is mostly paper: roughly $72.4 billion revalues convertible notes and SAFEs, early-investor instruments whose cost on the books rose with Anthropic's own valuation 5. Operating cash flow ran positive at $3.929 billion in the half, though the filing attributes part of that to payment timing 5.

A risk line no S-1 has carried

The filing warns that Anthropic's models could pose "catastrophic or existential risks to humanity" 1. The word humanity appears 21 times across the 300-plus pages, and the prospectus adds that the insurance industry as a whole may be insufficient to cover liability from a catastrophic AI incident 6. Public buyers get one vote per share; a vehicle owned by the seven co-founders holds 50.1% of voting power and a trust appoints most of the board 1. Some insiders can sell on the first trading day, under more than 20 unlock windows 6.

The sellers published the warning themselves

Morgan Stanley's−4.07% — Morgan Stanley, down 4.07 percent today chief US equity strategist, Mike Wilson, expects the correction that began in June to end with one final sell-off: S&P 500 downside to 7,100-7,200, semiconductors down another 10-15%, and AI concerns peaking within three to four weeks as AI debt supply is absorbed, which lands in mid-November 7.

The Fed held its benchmark rate at 3.75-4% this week with markets pricing further hikes 2, and the tape has been unfriendly: Alphabet−2.11% — Alphabet, down 2.11 percent today just had its worst day since its 2004 IPO and the S&P traded near 7,611 on October 30 6. These pages counted the AI debt default-insurance flow ten days ago (https://theinference.org/article/morgan-stanley-and-goldman-sachs-count-9-billion-a-week-of-default-insurance-on-ai-debt); what is new is the filing itself, the receipts inside it and the public clock 26.

Wilson's floor sits about 6% below the tape, his year-end target 5% above

The pricing amendment is the tell

Valuation talk runs near $1.5 trillion, down from earlier expectations of about $2 trillion, against the $965 billion Series H round of May 46; SpaceX's−5.44% — SpaceX, down 5.44 percent today record still stands at an $85.7 billion raise and a $1.77 trillion debut earlier this year 4.

Polymarket traders put 83.5% odds on ANT trading by November 30 5. If the deal prices into a tape the lead bank's own strategist expects to crack first, the institutions buying at the top hold exactly the risk the filing describes. Watch the pricing amendment and Wilson's 7,100-7,200 floor: the day ANT trades is the day the correction's last leg is scheduled to resolve 5.
