Rick McConnell, Dynatrace's chief executive, will face investors at the company's first Investor Day on February 16, 2027.

Dynatrace−14.63% — Dynatrace, down 14.63 percent today beat on revenue and earnings, then guided full-year and third-quarter profit per share below the street. Fiscal Q2, reported before the open on November 3, brought revenue of $580 million, up 17%, and non-GAAP earnings of $0.54 against a $0.49 consensus 12.

The shares fell anyway 3, because the guidance tables sold per-share profit to buy growth, and because the company is financing buybacks with newly issued exchangeable notes.

The split is clean. The Arize acquisition, closed October 1, lifts fiscal 2027 ARR guidance by about $34 million and adds roughly 200 basis points to ARR growth 1. It costs 175 basis points of non-GAAP operating margin: full-year operating income guidance fell to $653–661 million from $682–690 million, EPS to $1.88–1.90 from $1.97–1.99, and the third quarter is guided to $0.44–0.45 against a $0.48 street number 12.

The buyback is running on borrowed shares

The part the wires skipped sits two lines down in the same guidance table. Fiscal 2027 diluted weighted-average shares went from 295–297 million to 306–308 million, an eleven million share increase in one quarter 1.

Dynatrace spent $246 million in the quarter retiring 5.2 million shares at an average of $47.38 1, against $41.1 million of quarterly operating cash flow. A year earlier the same quarter ran the other way: $50 million of buybacks against $32 million of cash flow 1. The balance sheet shows where the firepower now comes from: $1.41 billion of newly issued exchangeable notes that did not exist at March 31, alongside $2.08 billion of cash 1.

The buyback went from matching cash flow to six times it in a year

The headline buyback is conditional

The 8-K is equally careful about the new $1 billion authorization: repurchases under it may commence only upon full utilization of the February 2026 program 1. The headline buyback is contingent, and the cash it would spend is already committed faster than the business generates it.

Management will answer at its first Investor Day on February 16, 2027, where it has promised a path to a "Rule of 50" profile in fiscal 2029: constant-currency ARR growth plus non-GAAP operating margin summing to at least 50 1.

That is the date the per-share story has to be repaired. Until then, the observability-for-AI-agents thesis is intact, and AI customer cohorts consuming at twice the rate of others support it 1, but the equity is being financed with notes and a share count moving the wrong way. Watch the February guidance, not the buyback headline.
