Penguin sold Cree LED for an undisclosed price, but its fiscal 2027 guidance still counts the sales

The all-cash sale price is undisclosed, the fiscal 2027 outlook counts a full year of Cree LED revenue, and the 11.6 times forward multiple rests on a guide with roughly 10% of its sales leaving. The first hard number arrives with the January quarter.

Penguin Solutions−9.21% — Penguin Solutions, down 9.21 percent today has agreed to sell Cree LED, the LED lighting-components business it still owns, for an undisclosed cash price, and then reaffirmed a fiscal 2027 forecast that still counts about 10% of sales from the business being sold 1. Penguin calls the sale its final step to what it describes as a pure-play, data center-focused AI infrastructure company 1. Until the price and the restated outlook arrive, nobody can say what the business fetched, what the cash buys, or what the stock is actually worth.

The filings set every term except the one that matters. An 8-K, the Securities and Exchange Commission filing for material events, shows Penguin signed the purchase agreement on November 3 with Transom Capital Group, a Los Angeles private equity firm that specializes in carve-outs, and announced it on November 4: all cash, closing expected in the first calendar quarter of 2027 1. Joseph Clark, president of the Optimized LED segment that holds Cree LED, leaves Penguin's executive ranks at closing and keeps running the business under Transom 1.

The market is pricing a company whose guidance includes a business it has sold

The arithmetic problem sits in the outlook. In the November 4 announcement, the day after the purchase agreement was signed, Penguin reaffirmed the forecast it had issued on October 6: about $2.43 billion of fiscal 2027 net sales at the midpoint, roughly 40% growth, and non-GAAP earnings of $4.45 a share give or take $0.70 2.

That guide counts a full year of Cree LED, about 10% of projected sales, roughly $240 million of revenue that will be gone for most of the year the guide covers, and Penguin says it will restate the outlook only after closing 1. So anyone buying Penguin at the roughly 11.6 times forward earnings the market quoted this week is underwriting a growth number that includes a business on its way out the door, without knowing what the sale pays 2.

The 8-K does not say what Cree LED earns, so the effect on a gross margin that has been slipping cannot be judged yet 2. If the divested business carries the weaker margin, the restated guide could look better; if the cash goes to debt rather than buybacks, the earnings base shrinks.

What the cash is worth depends on who is owed

The buyer of the strategic story already sits on the register. SK hynix−5.17% — SK hynix, down 5.17 percent today, the Korean memory maker whose advanced memory Penguin builds into its data center systems, paid $377 million in cash on October 29 for convertible preferred equal to 9.1% of Penguin: 6,096,103 underlying shares against about 60.6 million common outstanding, convertible at $32.80784 a share 3. The preferred carries a 6% cumulative dividend that sits ahead of the common and may be paid in kind at Penguin's option, plus consent rights over Penguin's borrowing 3. We covered that stake, struck well below the October share price, when the 13D was filed on November 3 3.

The dividend compounds whether or not the cash is there

That dividend matters here because it is cumulative: even if Penguin pays it in additional shares rather than cash, it compounds and converts into more dilution. What Cree LED's sale adds to the till, and whether it goes to the dividend, the debt or buybacks, the filings do not say. That answer, and the restated economics, arrive with the January quarter report.

A company cannot be valued as a pure-play AI infrastructure firm while its published guidance still books the revenue of the business it just sold. The January report is the first hard number; everything before it is a guide with a hole in it.

Sources behind the numbers

The fiscal 2027 guidance figures come from Yahoo Finance's analysis of Penguin's October 6 earnings release; the reaffirmation, the sale terms and the 10%-of-sales figure from the 8-K 12. SK hynix's terms come from its Schedule 13D, the SEC filing disclosing a large stakeholder's ownership 3.
