Prologis signs a $5 billion share-sale program while paying for SEGRO in stock

The share-funded buyer of SEGRO just secured the right to sell up to $5 billion of stock at will, the standing supply short sellers were already betting on. The timing lands in a week when bond markets began policing AI spending.

Prologis−0.03% — Prologis, down 0.03 percent today, the world's largest warehouse landlord, entered an equity distribution agreement on October 30, 2026, to sell up to $5 billion of its common stock from time to time 1, in a filing made public the same day 2. The structure is called an at-the-market program: a standing order to sell small amounts of stock on the open market at prevailing prices, through the banks, whenever the company chooses. Goldman Sachs−3.64% — Goldman Sachs, down 3.64 percent today, J.P. Morgan−1.74% — J.P. Morgan, down 1.74 percent today, Morgan Stanley−2.74% — Morgan Stanley, down 2.74 percent today, BofA−2.19% — BofA, down 2.19 percent today Securities, Citigroup−2.39% — Citigroup, down 2.39 percent today and Wells Fargo−1.78% — Wells Fargo, down 1.78 percent today headline a sales group of more than 20 institutions 1.

The banks can also act as forward sellers, which lets Prologis lock today's price now and hand over the shares later 1. The stock ended Friday at $127.98, flat, on a 3.2% dividend yield 1. The backdrop is one sentence long: Prologis agreed on October 16 to buy the UK landlord SEGRO for about £14 billion, paid mostly in Prologis shares, with closing expected in the first half of 2027 3.

Why the balance sheet wants the right to sell stock

Two bills come due at once, and the new program covers both without borrowing. October guidance lifted development starts to as much as $5.75 billion, with the data center power portfolio at 5.8 gigawatts 4. Capital spending has outrun operating cash flow in six of the last ten quarters, and the gap widened to $608 million in the second quarter of 2026 8.

Bank of America strategist Michael Hartnett counts $271 billion of debt and equity issued by the big cloud and AI spenders this year, calls Meta's−1.65% — Meta, down 1.65 percent today $95 billion stock raise a signal of "new respect for credit investors," and says the era of big buybacks is over 6. Selling shares is the alternative when bonds reprice. At Friday's yield, a full $5 billion of new shares would carry roughly $160 million a year in dividends 1.

Prologis does not need the money yet

The third quarter of 2026 turned the funding story the other way: operating cash flow of $1.76 billion outran $1.55 billion of capital spending 8. Core FFO, the property trust earnings measure, came in at $1.60 a share, more than double the $0.78 estimate and the sixth straight beat, and re-signed warehouse rents landed 38% above expiring leases 4.

The program is also a right, not a promise. Prologis may never sell a share under it, and forward contracts hedge the price when it does 1. The cost lands on existing holders only if the shares are actually sold, and Simply Wall St flags that dilution risk on a stock priced above industrial real-estate investment trust averages, with debt not well covered by operating cash flow 7.

Three signals that make the supply real

An SEC filing showing shares sold under the program, or forward contracts entered, makes the supply real; silence leaves it a shelf item 1. The split of SEGRO holders' cash-versus-share elections, when disclosed, shows whether the up-to-£3.5 billion cash alternative leans on the new program 3. And PLD's price against a peer that funds itself in bonds shows whether the equity route costs less than borrowing 6.

The agreement neither confirms nor addresses the net-short position against this share-funded buyer that The Inference reported on October 23. The right is signed. The sales have not started.
