Every trading day since October 20, London's Takeover Panel has filled with Form 8.3 filings naming Prologis−0.63% — Prologis, down 0.63 percent today and SEGRO, the paperwork any fund with 1% or more of the target must file once a takeover runs 1. The latest, filed October 22, shows hedge fund Millennium International Management LP holding 1,148,085 Prologis shares long, 0.121%, against 2,735,892 shares short, 0.288%, including 1.75 million shares of short cash-settled derivatives 1.

A $122.7 billion buyer is both the prize and the currency

Prologis, the San Francisco industrial landlord with a $122.7 billion market cap 3, is buying SEGRO plc, the FTSE 100 warehouse and data center REIT, in a revised £14 billion offer: 0.092 new Prologis shares per SEGRO share, with a partial cash alternative of up to £3.5 billion, valuing SEGRO at 1,031.7 pence per share. SEGRO shareholders approved the scheme on September 28; completion is targeted for the first half of 2027 78.

The arbitrage book is net short the buyer

That is the complication the filings expose. Millennium, a classic deal arbitrage player, is net short 1.59 million shares of the company issuing the deal currency 2. Barclays−1.29% — Barclays, down 1.29 percent today PLC, an exempt principal trader, disclosed the mirror image: 2,069,190 Prologis shares long (0.22%) versus 1,235,637 short (0.13%), after buying 159,158 shares and selling 91,601 on October 21, both at $127.60, while closing short swaps 2. Traders are hedging the paper Prologis will hand SEGRO holders, a bet that the buyer's stock weakens as the deal completes.

The quarter behind the currency

Prologis earned the scrutiny. Q3 revenue reached $2.39 billion, up 7.85%, with Core FFO of $1.60 per diluted share and 95.10% average occupancy, but net earnings guidance for 2026 was cut to $4.05-$4.15 from $4.40-$4.55 in the October 15 release, and Baird trimmed its target to $136 while staying Neutral 3. The Mexican sub-trust, FIBRA Prologis, reported October 22 that higher bad-debt reserves cut AFFO and forced lower NOI growth guidance despite 96.5% occupancy and 8% FFO growth 45.

The counterpoint: the target is thriving

SEGRO is entering the deal strong: £70 million of new headline rent contracted in the nine months to September 30, up 32%, UK rent reviews averaging 43% uplifts, occupancy of 94.7%, and a hyperscaler pre-let coming in west London 7. The assets are worth owning; the fight is over the price and the currency.

What settles it

Regulatory clearance, not shareholder votes, now gates completion in the first half of 2027 7. Watch the Rule 8.3 filings daily: when the net shorts in Prologis flip long, the arbitrage book is telling you the paper is safe to hold 7. Until then, the buyer's own shares are the trade everyone else is hedging.
