Silvaco's record TCAD bookings rest on a Micron note that converts at a discount

Silvaco reported record TCAD bookings and guided Q4 revenue to a record $22 million. The 10-Q filed an hour later shows total bookings down 15 percent and a balance sheet built on a discounted customer note and stock sold above the market.

Silvaco Group+8.76% — Silvaco Group, up 8.76 percent as of its last quote told two stories on November 4 1. At the close, the $197 million chip-design software company reported record TCAD bookings and guided fourth-quarter revenue to a record $22 million 1. At 5:01 p.m 2. Eastern its 10-Q landed on EDGAR, and it shows what the record is standing on 2. The stock finished down 4.7 percent at $5.82 3.

The record sits inside a shrinking total

Total gross bookings were $19.3 million, down 15 percent from a year earlier 1. The records are lines inside the smaller pool: TCAD, the process-simulation software at the company's core, booked $10.3 million, up 89 percent, on a new tier-one customer for its fab-technology co-optimization product, and IP bookings rose 193 percent on Mixel, an IP designer bought for $22.5 million in 2025 24.

Revenue fell 13 percent to $16.3 million, a $0.04 per-share loss against an expected penny of profit, as EDA software revenue dropped 56 percent and IP contract milestones slipped into the fourth quarter 134.

The cash behind the guide came from lenders and share sales

Operations consumed $17.3 million over nine months; financing supplied $21.2 million 2. The $22.0 million cash balance rests on 1,460,737 shares sold at an average $7.98 under a $35 million at-the-market program, a price the stock has since fallen 27 percent below, and on a $10.0 million convertible note that Micron+8.20% — Micron, up 8.20 percent today, a customer, bought on August 6 at 8 percent interest 2.

Shares outstanding are up 10.5 percent this year, to 34,196,912 2. The note converts by August 7, 2028, or a change of control, at the lower of 90 percent of the market price or 115 percent of the pre-issue close: at the November 4 close the 90 percent leg implies roughly 1.9 million shares, about 5.6 percent of the company, a count that moves with the stock 2.

Micron is also first in line, since the agreement bars more than $50 million of new debt unless it is subordinated to Micron's claim 5. A further $14.1 million of the cash, 64 percent, sits above federal insurance limits at two banks 2.

The guide leans on milestones the company does not control

Guidance is $22.0 million of fourth-quarter revenue, plus or minus 10 percent, against $53.2 million of remaining performance obligations, 59 percent of it due within a year 12. The milestones that slipped in the third quarter were deal-specific and outside the company's control, chief financial officer Chris Zegarelli said on the call; without them, Q3 would have closed near breakeven 6.

The new tier-one customer is, in chief executive Walden Rhines' words, among the 10 largest companies in the world or the U.S., and it is unnamed and unpriced 6. Management's counter is real: operating expenses are down almost a quarter after a restructuring that shed 85 jobs, and Q3 operating cash burn narrowed to $0.8 million, the least since the 2024 IPO 1247.

The next reading is the fourth-quarter print. Land the $22 million and the record is earned. Miss it, and 2026's most durable product was the paper sold to get through the year: shares issued at $7.98, and a note that converts at a discount.
