Synopsys executives sold $51 million of stock before S&P dropped its leverage guardrail
S&P's October 26 upgrade to BBB+ dropped Synopsys's leverage guardrail and cleared up to half its cash flow for buybacks. The CEO and CFO had already sold about $11 million of stock between them, and Cadence's record $8.2 billion backlog shows which of the two EDA leaders is compounding faster.

The upgrade grades the borrowing, not the demand
On October 26 S&P Global Ratings$123B — S&P Global Ratings, private, latest valuation $123B raised Synopsys to BBB+ from BBB with a stable outlook, on "strengthening long-term operating momentum" after the company's analyst day 1. The same note recorded three facts that matter more than the notch: management stepped away from a prior goal of keeping net leverage below 1x, the company can now direct as much as 50% of cash flow into share repurchases, and the path to the next upgrade runs through leverage held below 2x 1.
An agency removing a balance-sheet guardrail while the borrower loads cash into its own stock is not a forecast of AI demand. It is a license to lever.
Twenty-two days of filings: a buyback, two executive sales
October 5: the board authorizes a $1 billion accelerated repurchase, about 1.1% of the 191.6 million shares outstanding 23. October 6: chief financial officer Sudhindra Kankanwadi sells 9,170 shares at $500.00 for $4.59 million, cutting his direct stake by 28.76% 2. October 15: chief executive Sassine Ghazi sells 14,604 shares at $462.84 for $6.76 million, 15.97% of his holding, under a pre-arranged 10b5-1 plan 2. Insider sales across 90 days total $51.4 million 2, and the founder and executive chairman, Aart de Geus, had already sold 24,641 shares for $10.34 million on September 1 3.

Management's exhibits: mid-teens to 2029, 50% by 2030
S&P's note carries the bull case: mid-teens revenue growth now modeled through 2029, up from about 10%, a 49% EBITDA margin by 2029, and company targets of 15% annualized growth with 50% operating margins by 2030 1. Ansys integration runs a year ahead of plan, with $400 million of cost synergies pulled into fiscal 2027 1.
An Amazon IP contract worth more than $1 billion broadens licensing 1, and agentic workflows are framed as a volume catalyst that triggers more verification and simulation rather than a replacement 1. All of it sits beside the OpenAI revenue-share deal signed September 30, whose split remains undisclosed 3.
The rival printed first, and organically
The other camp scores the tape. Synopsys+1.51% — Synopsys, up 1.51 percent today carries a $92.35 billion market cap on 85x trailing earnings, with fiscal 2026 EPS guided to $15.04-$15.10, about 32x on its own guidance 2. Its reported 42.4% quarterly growth includes Ansys; the step from $1.74 billion to $2.26 billion of quarterly revenue arrived with the acquisition 4, and nobody outside the company can yet split organic from bought.

Cadence+0.64% — Cadence, up 0.64 percent today, the rival that reported on October 26, grew 22% to $1.633 billion with every product line up double digits, EDA 20%, IP 24%, system design and analysis 30%, lifted backlog to a record $8.2 billion with $4.2 billion converting within 12 months, and raised full-year growth guidance for the third time this year, to about 21% 56.
Cadence's AI bill is already in the margin
Its AI bill is visible too: non-GAAP operating margin slipped to 44.1% from 47.6%, and Maestro, the model line behind the pitch, reaches select customers in early access only this quarter, its vendor-reported gains still unvalidated in production 58. The stock at 35x forward earnings sits under its five-year average of 43x 6.

The defense: plans filed in advance, a balance sheet barely touched
Both executive sales ran under pre-arranged 10b5-1 plans, and the filings state no motive 23. Debt-to-equity is 0.29 with a quick ratio of 1.24, so the lever is barely pulled 2. Motley Fool Asset Management opened a $5.75 million position in the same quarter 2, and a physics-locked moat with usage-based pricing can credibly carry a mid-teens compounder 1. Cadence's caveat cuts both ways: agent revenue has not been separated from underlying tool consumption, so neither camp can yet price the agentic shift 7.

The verdict watch: the organic print
The camps collide on one number. Cadence's 22% is organic 5; Synopsys's mid-teens promise is the floor under a 32x multiple 12. The reading that decides it is Synopsys's fiscal fourth-quarter report, the quarter that closed on October 31, measured against the $15.04-$15.10 full-year guide 2; Cadence's own fourth-quarter guide, $1.695-$1.725 billion of revenue at a 44-45% non-GAAP margin, lands first 5. Until that print separates organic growth from Ansys, BBB+ grades the borrowing, and Cadence's $8.2 billion backlog grades the business 25.
