Schneider Electric pays 21x for PTC while Autodesk trades at 6.6x sales, its cheapest in 40 quarters

Strategic buyers paid 21 times forward operating profit for PTC while Autodesk, its closest listed peer, trades at 6.6 times sales, its cheapest in 40 quarters. A waitlist-only model that drafts CAD inside Autodesk Fusion is the named reason for the gap.

Design software got two prices this month, and they disagree by a factor of three. Schneider Electric agreed to pay $205 a share for PTC, about $22.6 billion in equity, a 42.3% premium, which Futurum prices at 21 times PTC's expected 2027 operating profit. 1 Autodesk−1.04% — Autodesk, down 1.04 percent today, PTC's closest listed peer, closed October 21 at 6.6 times sales, cheaper against sales than at 39 of its last 40 quarter-ends, despite 17.9% trailing revenue growth and a raised $8.32 billion fiscal 2027 forecast 3. Someone is wrong, and the reason is a model that has not shipped yet. 3

The fear now has a face

On October 19, Skyfall AI, founded by the Maluuba trio Microsoft+0.79% — Microsoft, up 0.79 percent today bought in 2017, released a research preview of SKY-001, an engineering world model that turns a sketch into buildable step sequences inside standard CAD tools, including Autodesk Fusion 2. Skyfall's own benchmark claims 79.7% mean IoU in 3.9 seconds at half a cent a case, against 79.1% for GPT-6 Astra in 199 seconds at 75 cents: roughly 51 times faster and up to 150 times cheaper for the same accuracy. 2

Treat those numbers as the company's own: SKY-001 has no API, no pricing and no weights, sits behind a waitlist, and targets commercial deployment in early 2027 2. But the mechanism behind the fear is real and worth taking seriously. 2

A narrow model does not have to be smarter than a frontier chatbot to matter; it only has to be reliable and cheap at one job, and cost per CAD operation is exactly the kind of number a CFO can act on. If it holds outside the test set, the value of a seat-based design license becomes a question rather than an assumption. 2

Why the buyers and the market split

Schneider and AMD+2.25% — AMD, up 2.25 percent today are buying capabilities they intend to wire into factories and chips, where the software's value is the workflow it connects, not the subscription: Schneider is assembling a digital thread from PTC's design tools, AVEVA's plant software and Cognite's data layer. 1 The public market prices the subscription line itself, and there the disruption threat is direct. Both readings are coherent. The strategics are not stupid and Autodesk is not obviously broken.

What decides it is the unfinished middle of the chain: turning a benchmark into a product engineers trust on a Tuesday. Whoever builds that harness creates the value, and Autodesk is not standing still, with MaintainX absorbed and AI pricing not due until 2027 3. Watch the November report: fiscal Q3 revenue growth against the 16.1% printed in Q2 is the first hard test of whether the fear or the buyers got it right. 3

Does fiscal Q3 revenue growth hold against the 16.1% printed in Q2, or does the disruption fear show in the numbers?

The case for

Strategic buyers price the workflow, not the subscription: Schneider is assembling a digital thread from PTC, AVEVA and Cognite, which says little about listed software multiples

The case against

Autodesk closed October 21 at 6.6 times sales, cheaper against sales than at 39 of its last 40 quarter-ends, despite 17.9% trailing growth and a raised $8.32 billion fiscal 2027 forecast
