Mobix Labs' drone deal died over a stalled audit; its CEO promised $30 million to $50 million at $0.72

A drone deal died with the audit unfinished, revenue has not risen in six quarters, and a shareholder vote on dilution now sits between the rare earth ambition and the numbers promised on an investor call.

Drones of the kind Mobix Labs' M&A strategy was aimed at. The Vision Aerial deal, signed July 24, 2026, terminated October 14 with the audit unfinished.

On October 14, 2026 Mobix Labs−5.30% — Mobix Labs, down 5.30 percent as of its last quote delivered written notice terminating its merger agreement with Vision Aerial, a drone maker, after the contractual termination date expired 3. The filing cites delays in due diligence and financial reporting, including accounting information needed to complete the audit process; a deal signed July 24, 2026, never closed, and Mobix called the parting amicable 3. The failure matters beyond one drone maker: the audit process that ran out that clock is the same process that will grade the numbers management has been promising.

What was promised on October 8

Eight days before the termination, chief executive Phil Sansone told investors fiscal fourth quarter 2026 revenue, the quarter ended September 30, is tracking toward the high end of $1.4 million to $1.8 million guidance, more than double the prior quarter, with substantially higher gross margins 12. If the announced transactions close, he said, Mobix could carry a $30 million to $50 million revenue run rate at this time next year 1.

Those transactions are two legs. Mobix agreed in August to acquire Special Project Delivery, a strategic infrastructure platform headquartered in Newport Beach, California 6.

$53 million in awards, a $25 million plant, no new mine

SPD signed a business combination agreement dated September 30 to acquire Winner Water Services, a Sharon, Pennsylvania company that recovers rare earth elements, scandium and alumina from coal ash impoundments 6. Winner holds six consecutive Department of Energy and Defense awards totaling $53 million over ten years and is building a fully funded $25 million demonstration plant in Wilsonville, Alabama, expected to operate no later than Q1 2028 16.

The filings show a floor, not a boom

Revenue has fallen from $3.17 million in the quarter ended December 31, 2024, to $0.79 million in the quarter ended June 30, 2026, with no quarter-to-quarter increase across the six quarters after that peak, per Mobix's SEC filings 9.

Net losses over that stretch ranged from about $2.3 million in the March 2025 quarter to $19.8 million in the December 2024 quarter 9. The September 24 preannouncement carried Sansone's claim that fiscal Q3 "marked our bottom, and these results are the proof," and the same release lists substantial doubt about going concern among its risk factors, a flag covered on these pages on September 29 810.

Quarterly revenue at period end, USD millions, from Mobix Labs' SEC filings [9]. The September 2026 point is the $1.4 to $1.8 million guidance range from the October 8 investor call [1]. Mobix's fiscal year ends September 30, so fiscal Q4 2026 is the quarter ended September 30, 2026.1,9

The math between promise and book

The guided high end is $1.8 million for one quarter; stretched across four quarters it comes to about $7.2 million, a calculation from the company's own guide, not a reported figure 1. The promised run rate is roughly seven times that, at a company worth about $13.4 million 5 whose shares closed at $0.72 on October 21 4. The October 8-K states plainly that any share issuance in the SPD deal would cut existing holders' ownership, and the prospectus now before investors covers up to 3,744,161 shares 14.

The bear and the bull, stated fairly

The bear case, put by Barchart on October 6: investors fear significant dilution to finance the multi-tiered deal, and an extraction business bolted to a loss-making chipmaker adds operational bloat without immediate cash flow relief 7.

The bull case rests on real receipts: repeat federal awards across a decade, and feedstock already above ground, so no new mine to permit 16. But the $53 million in awards and the $25 million plant fund research and a demonstration facility, not the multibillion-dollar commercial build, which depends on capital management describes as still pending in Washington 1.

Three dated readings settle it

The audited fourth quarter and fiscal 2026 10-K, due within weeks, the proxy vote on the SPD share issuance, and Winner's Q1 2028 plant date each price one leg of this story 3. Vision Aerial's deal died because the audit slipped 3. That same process now grades the bottom-is-in call, and the proxy vote tells holders what their stake becomes.
