indie Semiconductor's growth guide counts $30 million from a business it is selling

Shares in the Nasdaq-listed automotive chip designer have roughly halved in a month with no announcement to explain it. The November 5 report has to show how much of the guided growth is organic.

Half the value gone, and no release to explain it

indie Semiconductor−7.30% — indie Semiconductor, down 7.30 percent today, the Aliso Viejo, California designer of automotive chips for radar and in-cabin sensing, closed at $1.62 on October 23, down 49.22% in a month from about $3.19 1. No company release explains it; the month's only items were an employee grant, a product award, a satellite selection and an earnings date 1. Its sector fell 8.25% and test-equipment maker Aehr fell 43.82%, but indie fell about six times as hard as its group 2. Short interest sits at 28.07% of the float 3.

The growth guide counts a business being sold

The growth is real but partly borrowed. Second-quarter revenue rose 24% to $64.0 million, and the third-quarter guide of $67 million to $73 million means about 30% growth: roughly $40 million from the core business, about $30 million from Wuxi indie Micro 1.

On October 27, 2025, indie agreed to sell its 34.38% stake in Wuxi, a Chinese venture it controls with 59% of the vote but only partly owns, to United Faith Auto-Engineering, a Shenzhen-listed auto-parts maker, for about $135 million in cash, pending United Faith's shareholder vote and Chinese regulatory clearances including the Shenzhen Stock Exchange, inside an 18-month window that expires in late April 2027 4.

A October 12 Seeking Alpha analysis rates the shares a sell, argues the core ex-Wuxi needs about 66% revenue growth to break even, and says consensus estimates still count Wuxi 3.

The sale shrinks the revenue line, not the debt

The market cap is $412.6 million 3; the convertible notes carry $415 million of principal: $26.0 million due 2027, $218.5 million due December 2029 and $170.5 million due 2031, the last issued in March 2026 4. The 2029 and 2031 notes convert at $5.14 and $3.87, so at $1.62 the realistic path is repayment or refinancing, not conversion into stock 4. Cash was $139.0 million on June 30, and operations burned $51.0 million in the first half 4. The Wuxi check covers about a third of the notes.

The convertible notes now cost about as much as the whole company

Bulls have numbers too, and November 5 tests them

The bull case is not empty: the non-GAAP operating loss narrowed to $8.9 million from $14.5 million, 77GHz radar won fresh adoption from global carmakers, and quantum bookings set a record 15.

October added selection for Europe's Copernicus CHIME Earth-observation satellites, launching in 2028 and 2030, and an in-cabin award pairing the iND881 chip with Emotion3D software, a category the EU has mandated on new cars since July 2026; neither carried financial terms 67.

Results land after the close on November 5, with the call at 5 p.m 1. Eastern 1. The number to check is the fourth-quarter guide, and whether it still counts the $30 million that is walking out the door 1.
