Nvidia bought $3 billion of Meta's $25 billion stock sale as Meta expands its Nvidia orders
Nvidia bought $3 billion of Meta's equity overnight while Meta committed to Nvidia's next-generation systems. Meta's capital spending has now passed its operating cash flow, so the equity tap stays open, and part of the money buying AI chips comes from the chip sellers themselves.

Nvidia+0.87% — Nvidia, up 0.87 percent today put $3 billion into Meta's−1.01% — Meta, down 1.01 percent today equity offering early Tuesday, and the same announcement said Meta will expand deployment of Nvidia's Vera Rubin compute systems, Spectrum-X networking and BlueField-4 chips 1. Both things are true at once: the partnership on Muse, Meta's consumer AI agent, genuinely deepens, and a chip supplier is buying the paper that funds its own sales. That is the circularity question critics already raise about Nvidia's stakes in OpenAI$500B — OpenAI, private, latest valuation $500B, CoreWeave+6.90% — CoreWeave, up 6.90 percent today and Nebius+10.61% — Nebius, up 10.61 percent today: how much AI demand stands on its own when the vendors' money helps buy it 2.
The build-out outgrew Meta's cash engine
Meta needs the tap open. Last quarter its capital spending passed its operating cash flow for the first time in three years 3, and 2026 spending is guided to $135–145 billion 4. The answer is equity at scale: $25 billion of common stock priced at $625 a share, plus $12.5 billion of preferred shares that must convert into stock by 2029 56, and a further $60 billion of non-voting Class C stock planned for 2027 57.
The common tranche rides on forward sale agreements, so Meta locks today's price and collects the cash by November 2027: the data centers arrive before the money does 6. The dilution lands on public shareholders; the non-voting class means the selling never costs Mark Zuckerberg a vote 7.

The buyer list is the supplier list
Meta had said on Monday that Nvidia, AMD+5.06% — AMD, up 5.06 percent today and Broadcom+3.84% — Broadcom, up 3.84 percent today, its fellow chip suppliers, indicated interest in up to $5 billion of the common stock, collectively and non-bindingly 4. Nvidia's check, disclosed a day later, is the first named slice 17.
This is Nvidia's established pattern: more than $40 billion of AI equity commitments in the first four months of this year, spread from OpenAI to CoreWeave, Nebius, Corning and IREN+6.57% — IREN, up 6.57 percent today 2. Axios now calls a multibillion-dollar Nvidia investment "all but table stakes" for serious AI players 8. Nothing in the filings ties this week's check to Meta's hardware commitments; nothing rules out a connection either 1.

Read Nvidia's revenue net of Nvidia's own cash
The demand underneath is real: Muse was one of the most downloaded apps within a week of launch 5. What changes is the accounting. Nvidia takes a stake, the customer signs purchase commitments, and some of the revenue flowing back is a return on equity Nvidia itself supplied, a pattern critics call circular financing and defenders call vertical integration 2. When the vendor funds the buyer, part of AI's reported demand is the industry's own money coming home.
Trust the demand that shows up without the vendor buying in
The test arrives this week, when Alphabet+1.43% — Alphabet, up 1.43 percent today, Microsoft−0.08% — Microsoft, down 0.08 percent today and Amazon+1.86% — Amazon, up 1.86 percent today report with capital budgets funded from operations rather than vendor equity 7. Alphabet already showed the strain, raising $80 billion in equity in June after its first negative cash-flow quarter as a public company 9. The build-out deserves the money; agents are a real shift in computing, and Meta is funding frontier work at consumer scale. The discipline is one line: trust the demand that shows up without the vendor buying in, and discount what only arrives after it does.
