Omnicom spent $3.2 billion on buybacks while its operations made $37.8 million

A year after closing the IPG merger, Omnicom calls the integration substantially complete and points to 7.2% organic growth. That growth is measured against a rebuilt prior-year baseline, and the same filing shows the buyback dwarfing the cash the business produced.

Michael Roth, the longtime chairman of Interpublic Group, the company Omnicom absorbed in the biggest acquisition in advertising history. Omnicom's chief executive John Wren now calls the integration substantially complete.

The buyback came out of the balance sheet

Omnicom−4.75% — Omnicom, down 4.75 percent today is closing out the biggest acquisition in advertising history 12. The 10-Q filed on October 22 shows the bill: nine months of operations produced $37.8 million of cash, while share repurchases took $3.21 billion and dividends another $703 million 3. The buyback alone ran about 85 times operating cash flow, and cash on the balance sheet fell from $6.88 billion at the start of the period to $3.80 billion at quarter-end 3.

On the earnings call, chief executive John Wren called the integration of Interpublic Group "substantially completed" and the $900 million cost-savings target on track 2. Chief financial officer Philip Angelastro said in September that headcount would fall from about 120,000 to about 105,000 by December 31, targeting duplicated corporate functions and regional management 14. The cuts sit under a $1.5 billion gross synergy target, and the December wave retired the DDB, FCB and MullenLowe agency brands 14. Third-quarter severance and repositioning costs more than doubled, to $84.7 million from $38.6 million 3.

The 7.2% rests on a rebuilt baseline

Third-quarter revenue was $6.42 billion against $4.04 billion a year earlier, a comparison in which IPG sits inside 2026 but not inside 2025 3. Omnicom's preferred measure, 7.2% organic growth for the quarter and 5.8% for nine months, is struck against combined prior-year periods that include IPG before the November 26, 2025, closing 3. Revenue from businesses held for sale, $412 million in the quarter, is stripped out of that calculation 17.

Working capital absorbed $2.32 billion of the nine months, more than the period's $1.70 billion of net income, against cash used of $99.2 million a year earlier 3. For all of 2025, operations produced roughly $2.9 billion, and the fourth quarter alone generated $3.04 billion 9.

The creative line is shrinking

Advertising, the creative discipline at the heart of the group, fell by a mid-single-digit percentage organically in the third quarter, after a high-single-digit drop in the second 1. Tyler Turnbull, a key figure at the agencies FCB and McCann, left this month to lead WPP's creative arm, and Troy Ruhanen, who led Omnicom Advertising, retired 2. Wren told analysts that "Everybody is replaceable" and pointed to succession plans 2.

Publicis, the French rival, took PepsiCo's global media account, which Omnicom's OMD network had held for more than two decades, without a formal pitch 25. PepsiCo−0.22% — PepsiCo, down 0.22 percent today spent $5.4 billion on marketing in 2025 5. "You can't sugarcoat it," Angelastro said of the loss 4.

Integrated media is carrying the group

Integrated media, 53% of revenue once businesses held for sale are stripped out, grew more than 10% and added Novo Nordisk's−0.09% — Novo Nordisk, down 0.09 percent today American media buying plus Coca-Cola's North American media from December 1 127. Publicis had handled that Coca-Cola business since last year, and it separately withdrew from the global media pitch in September after winning PepsiCo 256. Leverage stands at 2.3 times against a 3.5-times covenant 3. Publicis itself grew 5% organically in the quarter and books $465 million of revenue from this year's new business 8.

The quarter that decides it

The year-end deadline for the final cuts, Wren's "handful" of remaining dispositions and the December cash conversion all land in the same three months 12. December's cash statement will show whether the $900 million of savings arrives as cash 2.
