Brookfield Renewable won 99.7% of the vote and still had to postpone it
The yes share is 99.7% of votes cast, but the resolution needs two-thirds of all outstanding units, so unvoted units count against the deal. Proxies close November 25, the units sit near a one-year low, and short interest just jumped 85% in October.

On October 28, Brookfield Renewable Partners+2.79% — Brookfield Renewable Partners, up 2.79 percent today postponed the vote on its own restructuring despite winning 99.7% of the votes cast in favor 1. The yes share is 99.7% of votes cast, but the resolution needs support from unitholders holding at least two-thirds of all outstanding BEP units as of the August 21 record date, so every unvoted unit counts against the deal 1.
The arithmetic that beat a 99.7% yes
The Simplification is the plan to fold the Bermuda limited partnership into a single corporate security, alongside Brookfield Renewable Corporation (BEPC), the corporate-listed twin investors can already buy 1. BEPC shareholders approved on October 14, so the partnership's own unitholders are the last gate 1.
Brookfield moved the proxy deadline to November 25 and the virtual meeting to November 30, with a British Columbia Supreme Court hearing to follow on or about December 3 1. The release campaigns hard for ballots from "unitholders who have not yet voted" and promises phone and email assistance through proxy solicitation agent Laurel Hill, which suggests the missing proxies sit with passive holders who never vote; that is Brookfield's implied read, not a stated count of who is holding out 1.
Two payoffs, one wrapper
The sponsor gets one corporate security that index funds and ETFs can buy, plus possible new index inclusion 1. Unitholders who vote yes lose the partnership tax reporting forms and many gain preferential dividend tax rates 1. The board is unanimous, Scotiabank delivered the fairness opinion, and proxy advisory firms ISS and Glass Lewis both recommended voting for 1.
The units bleed while the vote waits
BEP opened at $28.65 on October 30, near its one-year low of $26.30 and far from the $38.12 high 3. Short interest jumped 85.2% in October, from 733,588 shares to 1,358,930 3. Analysts lean positive, seven Buy ratings against six Holds, consensus target $36.73, though Morgan Stanley+1.60% — Morgan Stanley, up 1.60 percent today cut to $37 from $42 3.
Every analyst target sits above the price, but the closest one is $1.35 away

The operating business is separate. Last reported earnings on July 31 beat on revenue, $1.71 billion against $1.56 billion expected, but missed with an adjusted loss of $0.37 a share 3. Q3 results land before the market opens on Wednesday, November 4 4.
What would a shortfall actually mean
The threshold is measured against all outstanding units, and neither source states current turnout, so nobody outside the proxy count knows the true gap; a deal with 99.7% support among voters cannot fail on opposition, only on silence 1. If the count still falls short on November 25, the consequence is mechanical: the resolutions fail, the K-1 tax reporting drag stays, and Brookfield must run the solicitation again 1. Two extra weeks of phone calls and reminders usually move turnout, but the release itself proves the first deadline did not 1.
The decision rule before November 25
If units are held, the proxy must be in by 5 p.m 1. Toronto time on November 25; every unvoted unit is a no under the two-thirds rule 1. If the units are traded instead, Q3 before the open on November 4 is the next catalyst, followed by the meeting on November 30 and the court hearing around December 3 14.
