Xcel Energy raised $8 billion in six days for a $70 billion grid plan; no data center has signed

Xcel priced $2.2 billion of convertible notes and opened a $6 billion stock program in six days, completing the equity leg of its $70 billion grid plan before a single one of the 4 gigawatts of expected data-center contracts has signed.

High-voltage transmission towers. Xcel's $70 billion plan is a build-out of exactly this: wires, renewables and substations sized for load that has yet to contract.

The paper closes today: $2.2 billion of 2.625% convertible senior notes−0.55% — $2.2 billion of 2.625% convertible senior notes, down 0.55 percent as of its last quote, due December 15, 2027, priced November 2 and upsized from $2 billion with a $300 million option still open 1. The proceeds, about $2,178.5 million, repay commercial paper and part of a 364-day delayed-draw term loan 1. Short money, swapped for short money. That is the press release. The rest of the calendar is the story.

Six days that funded the equity leg

Rewind the week. On October 29 Xcel unveiled a $70 billion five-year capital plan, up 17 percent, with $7 billion already tagged for contracted data centers and another $10 billion possible for more than 15 gigawatts pending in RFPs 3. CFO Brian Van Abel said the plan would be financed with $26 billion of debt and $8 billion of equity, about 40 percent of that equity already contracted 3.

On October 30 came a new $6 billion at-the-market stock program, replacing one with $448.6 million unsold, alongside roughly $6 billion of prior forward sale commitments 2. On November 2 the convert priced 1. Six days, and the $8 billion equity leg is effectively assembled, part of it debt that becomes equity if the stock clears $87.26, a 10 percent premium over the November 2 close 1.

The demand side is now the timing risk

Here is the tension. The 4 gigawatts of data-center service agreements Xcel expects to sign by the end of 2027 are targets, not contracts 3, and the convert's free-conversion window opens September 15, 2027, inside that same window 1. If the load signs, the notes quietly become about 25 million new shares, roughly 4 percent of the ~631 million shares implied by the $49.37 billion market cap at $78.19 24. If not, Xcel refinances 13.5-month paper in a market nobody can price yet 24.

The politics moved first. Democrats swept the midterms on November 3, and data centers lost: 38 of 39 local restrictions passed, anti-data-center gubernatorial candidates won in Texas and Georgia, and Goldman Sachs estimated the results could temporarily halt projects covering some 45 percent of planned US capacity 56. Data center stocks slid on the news 6.

Record earnings, falling stock

None of this is distress. Third-quarter net income hit $960 million, up 83 percent from $524 million, capping six straight quarters of gains 34.

Net income rose six straight quarters, then jumped 83% in Q3 2026

The counterpoint is fair: converting at $87.26 means Xcel stock has to rally about 12 percent from November 2's $78.19 before the dilution even exists 14. And the growth is real: 2.5 percent weather-adjusted electric sales growth and a 25 GW pipeline are on the board 3.

But watch the tell: the rate of data center contract signings over the next twelve months. If the 4 GW closes, the convert was cheap pre-funding. If it stalls, the equity leg of a $70 billion plan was raised against a boom that just voted to slow down.

Deep dive in the archive: Xcel's $70 billion grid plan starts with a $6 billion stock sale and the Minnesota rate freeze.
