Axiom leaves Flex with the growth, the CEO and a $4.4 billion debt clock

The October 29 and 30 filings name the post-spin chiefs and show the EPC Power bill sitting on loans due October 13, 2027, that are expected to move to Axiom with the spin-off; a $2 billion preferred placement led by General Catalyst is the only scheduled relief. Fourteen of fifteen analysts still say buy.

The split picks its chiefs

Flex−1.14% — Flex, down 1.14 percent today told investors on October 29 who runs each half 1. A proxy supplement names Michael Hartung chief executive of the remaining Flex and Amy Schwetz its chief financial officer 1.

Revathi Advaithi, Flex's chief executive, is the expected chief executive of Axiom, the new name for the Cloud and Power Infrastructure segment set to leave in the first quarter of 2027 2. Her half is the growth engine: Axiom's revenue rose 54% year over year to $2.5 billion last quarter at a 10.7% adjusted operating margin, while the businesses staying with Flex grew 16% 13.

The preferred-stock deal signed October 2 puts a first price tag on the spinco: $2 billion from General Catalyst and Koch Equity Development, company-claimed at an initial enterprise value of $37.5 billion 2.

One-year money rides with the spin

The 10-Q filed October 30 shows how Axiom's newest asset was bought 4. Flex closed its roughly $4.4 billion cash purchase of EPC Power on October 14, funding it the same day with a $3.3 billion term loan and a $1.1 billion bridge loan, both maturing October 13, 2027, and both expected to transfer to Axiom with the spin-off 4.

The $2.0 billion preferred placement would cut those loans if it funds before separation; until it does, Flex's finance chief Kevin Krumm expects elevated interest expense 45.

The preferred pays a 10% annual cash dividend before the spin, stepping to 6% in cash or 7% paid in kind afterward 2. The transfer terms are the new detail since the loan package was reported on October 14 2.

The customer is also on the cap table

Amazon+3.49% — Amazon, up 3.49 percent today, a customer of the cloud business Axiom courts, holds a warrant for up to 3,859,851 Flex shares at $51.29, with 0.1 million vested as of September 25 4; the stock trades near $88.26 6.

One customer already took 14% of second-quarter net sales, most of it in the segment that leaves 4. Asked on the October 28 call how holders should feel about two customers possibly reaching 60% to 70% of Axiom sales, Advaithi gave no percentages: "If you're not concentrated towards hyperscalers, you're going to be losing market share in this space" 3.

What the bulls pay for, what the filings price

Fourteen of fifteen covering analysts rate Flex a buy, and the consensus target of $155.91 implies about 68% upside from the October 28 close 7; BofA0.00% — BofA, unchanged today Securities lifted its target to $162 on October 30 8.

Second-quarter net sales were $8.491 billion, up 25%, with net income of $263 million against $199 million a year earlier 4. Flex raised its fiscal 2027 revenue outlook by about $950 million to $34.9 billion to $35.9 billion, roughly half the raise from EPC Power, and guides adjusted earnings of $4.84 to $5.16 a share 5.

Innovation Day on November 10 puts both leadership teams on stage before the shareholder vote, a Singapore High Court review and the SEC's ruling on Axiom's Form 10 14. The tell is the preferred placement: funded before the spin closes, Axiom lists owing about $2.4 billion inside a year; unfunded, it lists owing $4.4 billion 14.
