CCC Intelligent Solutions' last public quarter shows AI accelerating before GTCR and Elliott buy it at $7.75

CCC's October 29 results are the last financials public shareholders see before a Q1 2027 close: AI revenue compounding 40%, 44% EBITDA margins, and two law firms questioning whether $7.75 a share is a fair price for what the buyers are getting.

CCC Intelligent Solutions−0.13% — CCC Intelligent Solutions, down 0.13 percent today, the insurance-claims software platform, printed its last quarter as a public company on October 29, and the numbers say its fastest line was still accelerating when GTCR and Elliott, two private investment firms, agreed to buy it 1. Shareholders get $7.75 a share in cash, roughly $6.1 billion in enterprise value, under a deal struck October 15 and expected to close in the first quarter of 2027 1.

Two shareholder-rights firms are now asking whether that price is fair, and this quarter is the last public evidence anyone will get 34. In light of the proposed transaction, CCC is suspending its practice of providing guidance and will not host a conference call or webcast on the results 1. After this print, the books go dark.

The AI line is still speeding up

AI-related revenue reached about $130 million on an annualized run-rate, up 40% from a year earlier and up from about $120 million a quarter earlier 1. CCC frames that as customers moving from AI experiments to AI deployment at scale, including a top-five insurer adopting its Medhub for Auto Casualty, which uses AI to read complex medical records in injury claims 1. Once the deal closes, private owners see that acceleration and public investors do not.

The core business is carrying it

Revenue rose about 10% to $294.1 million, adjusted EBITDA rose about 19% to $130.5 million at a 44% margin, and the company swung to $30.2 million of GAAP net income from a $2.0 million loss a year earlier 12. Nine-month free cash flow of $206.5 million is up from $149.6 million 12. The buyers are acquiring a profitable, cash-generative SaaS network, not a turnaround. 12

Who keeps the upside

Chairman and CEO Githesh Ramamurthy and president Tim Welsh will roll their equity into the private company, so the people who negotiated the price keep their upside while public holders do not 3. SBS Law and Brodsky & Smith, both shareholder-rights litigation firms, are investigating whether the board ran a fair process at $7.75 34. The investigations are early and unproven; what is proven is that management stays and public shareholders leave.

The vote is the last test of $7.75

The test comes at the stockholder vote ahead of the expected first-quarter 2027 close 1. Whether $7.75 underprices the AI line cannot be proven from public data, because after this quarter CCC will publish no guidance and host no call 1. Watch the proxy statement for the board's fairness analysis, and watch whether the two firms' challenges extract any added disclosure or price before the vote 134.
