Toast's AI grew the fee line the FTC suit wants to unwind

Toast answered the FTC's hidden-fee lawsuit with the quarter that fee line produced: a take rate of 104 basis points, six above a year earlier, on AI tools restaurants keep buying. The AI value is measurable in restaurant outcomes; the packaging around it is what is on trial.

Toast+6.19% — Toast, up 6.19 percent today answered the FTC's hidden-fee lawsuit with its income statement 41. On November 3, 2026, five days after the FTC and eight states sued it 4, Toast reported recurring gross profit up 27%, raised its full-year outlook, and watched its shares slip about 1.4% 1.

The take rate, the slice of each card payment Toast keeps, rose six basis points to 104 1. That slice comes out of $62 billion of quarterly card volume, and it is the line the complaint attacks 1.

The suit targets the fee packaging, not the kitchen work

Filed October 29 in federal court in Northern California 37, the complaint alleges unauthorized add-ons, cancellation terms buried in a 25-page merchant agreement, and a $0.99 fee Toast charged on diners' online orders and kept for itself 34. The legal move stretches ROSCA, the Restore Online Shoppers' Confidence Act, a consumer statute written for online subscriptions, over Toast's negotiated business-to-business contracts; no court has read it that far 35. Chief executive Aman Narang said he was "incredibly disappointed," and that applying ROSCA this way would carry "huge implications for the whole industry" 16.

The AI chain is the part that works

Narang's defense has a working machine behind it. Toast IQ Grow's agents, one for search visibility, one for reviews, one for offers, now do marketing work restaurants used to outsource, and IQ Team writes staff schedules from expected sales, availability and overtime risk 1. IQ Grow, Toast's fastest-growing product, is on track for $10 million in annual recurring revenue by year-end, and Toast measures its customers' sales lift against a control group 1.

Restaurants using Toast's Scheduling Pro tool averaged 41% fewer overtime hours per employee 1. IQ Grow is a major driver of the growth in the average revenue Toast earns per restaurant 2, and AI handling a growing share of support tickets helped lift software gross margin 320 basis points 12. When we asked on October 26 whether Toast's AI usage would show up as dollars, this quarter is the first answer 2.

Lending moves part of the credit risk onto shareholders

One layer sits closer to the suit than the software. Toast Capital, the lending arm, has begun holding some loans on its own balance sheet because, the CFO said, Toast "retains all the economics," though most lending still passes through a credit-risk-transfer program that shifts risk to outside investors 12. The complaint says restaurants with outstanding loans can be required to repay immediately if they cancel or switch providers 3. The shift is partial, but it lands as regulators test this very tie between borrowing and staying put.

If fees must be explicit, measurable value should survive

The chain here is real: agents replace outsourced work, restaurants see the results in sales and overtime hours, and the fee line grows. Toast is doing the unglamorous middle hops, wiring agents into its products, selling them through its upsell team, measuring results against control groups, and that work deserves its reward.

What a suit can force open is the packaging around it. If every fee must be spelled out, the products whose results restaurants can measure should keep their pricing power, and Toast's control-group numbers are the right exhibit. The bottleneck has moved from the technology to the courtroom, and February's 2027 guidance will be printed inside that clock 1.
