Google backstops Anthropic's $19 billion TeraWulf lease and takes equity if Anthropic stops paying

A Google backstop filed with the SEC makes TeraWulf's $19 billion Anthropic lease financeable at Alphabet-grade cost, and the terms show exactly how much default risk the lenders priced in.

TeraWulf−6.30% — TeraWulf, down 6.30 percent today filed an 8-K on November 4, 2026, disclosing three credit support agreements under which Google LLC promises to stand behind Anthropic's$350B — Anthropic, private, latest valuation $350B rent at the Justified Data Campus in Hawesville, Kentucky 1. If Anthropic misses rent or enters insolvency, Google+3.58% — Google, up 3.58 percent today can pay all rent due and assume the lease as tenant, or pay a termination fee and, on that payment, take an equity interest in Raylan, TeraWulf's project subsidiary 1.

A cosigner for a bitcoin miner's AI landlord

The lease behind it: in July 2026 Raylan Data LLC signed Anthropic to roughly 401 MW of critical IT load for 20 years, about $19 billion of contracted lease commitments, with buildings CB-1 through CB-3 delivering from late 2027 through the second quarter of 2028 1.

In effect, a bitcoin miner turned AI landlord just signed a cosigner. TeraWulf itself is raising debt against those lease commitments: the 8-K states the credit support was entered into "in connection with debt financing supporting approximately $19 billion of contracted lease commitments" 1. The filings do not spell out lender demands, but the structure points to the gap: a startup tenant's 20-year promise, priced on Google's credit instead 1.

Debt priced on Alphabet's rating, not Anthropic's

Alphabet, Google's parent, carries AA+ from S&P Global Ratings$123B — S&P Global Ratings, private, latest valuation $123B and Aa2 from Moody's+4.89% — Moody's, up 4.89 percent today, so debt priced against this paper borrows near the guarantor's neighborhood rather than the tenant's 2. CFO Patrick Fleury called cost of capital "fundamental to infrastructure development" 2. Construction risk got the same treatment: Fluor signed a definitive guaranteed-maximum-price EPC the same day, with milestones running late 2027 through Q2 2028 2.

The equity grab and the sunset

Two terms deserve a hard look. Google did not guarantee for free: if its guarantee is ever called through the termination-fee route, the guarantor gets paid in ownership of TeraWulf's project vehicle 1. And the obligation ends once Anthropic, or an affiliate guarantor, holds investment-grade ratings for three months 1. The backstop only needs to exist while Anthropic lacks those ratings; the moment it earns them, Google's obligation ends.

The IPO sets the sunset clock

Anthropic, which lost roughly $80.7 billion in the first half of 2026 per a leaked prospectus draft, is reportedly aiming for a mid-November IPO at a valuation near $1.5 trillion, down from $2 trillion once floated 4. Google has backed similar Anthropic-linked projects totaling more than 2 GW of capacity, so this is a pipeline, not a favor 3.

Optimists see a financing machine; skeptics count who had to be asked

TeraWulf has spent the autumn shoring up financing, lifting a Morgan Stanley-led revolver from $250 million to roughly $400 million in October 5; a backstop on the tenant's paper is a different order of fix. The counterpoint cuts both ways: optimists read the backstop as the financing machine working, skeptics count who had to be asked, and why the guarantor demanded equity. If the IPO disappoints, the debt behind these buildings is priced off Google's willingness to pay, not Anthropic's.

Google's Anthropic-linked backstops now span more than 2.4 GW of capacity

That footprint is the tell: Google's signature now sits behind a growing share of Anthropic's buildout, and its IPO pricing decides whether the sunset clock starts.
