One Stop Systems raised guidance twice and filed to sell up to $50 million of stock, 41% of its market value
The edge-computing maker beat, raised guidance twice and opened a $50 million at-the-market program in the same week. At a $122.68 million market cap, that facility is now about 41% of the company, and retail sentiment has not noticed.

One Stop Systems−5.20% — One Stop Systems, down 5.20 percent today reported the best quarter of its turnaround on October 28 and, in the same filing, opened the door to selling up to $50 million of new stock. Both facts are in the documents. The question a holder must answer is which one pays for the other.
The quarter the bulls wanted
Third-quarter revenue hit $12.58 million, up 35.9% year over year and 14.4% above the $11.0 million consensus, and management raised its 2026 growth guidance a second time, to about 40%, or roughly $45 million of revenue, from 25% to 30% a quarter earlier 2. The growth guide is a staircase: 20% to 25% early in the year, then 25% to 30%, then about 40% 2.
The business behind it is real: a tier-one enterprise qualification for its Gen5 expansion system, 14 multi-year programs against one three years ago, and management saying all 2026 guidance is already in backlog 2. One caveat sits in the same record: growth is decelerating quarter by quarter, 55% in the first, 62% in the second, 35.9% in the third 2.
Growth came back in 2026, then slowed: 55%, 62%, then 35.9%

The cash that explains the filing
Continuing operations used $12.4 million of cash over nine months, including a $6.25 million legal settlement and a $7.8 million inventory build, and cash and short-term investments fell to $18.9 million from $31.4 million at the end of Q2 2. The CFO said fourth-quarter margins will dip and cash use will stay negative, with a $5.6 million collection slipping into October 3.
So the company filed an at-the-market program with Piper Sandler: up to $50 million of stock at a 3.0% commission, no obligation to sell any of it, proceeds earmarked for acquisitions, working capital and general corporate purposes 13. EDGAR's list shows one 2026 prospectus supplement for the program, filed October 28; the brief's November 1 follow-on does not appear there, so the October 28 filing is the verified start date 7.
Do the dilution arithmetic
On the print day the stock fell 7.54% to $6.25, erasing about $13 million of market value 3. By November 4 it traded at $4.60, a $122.68 million market capitalization, down from a 52-week high of $20.88 8. At that size, the full $50 million program equals roughly 41% of the company's market value 4. The sellers are not only short sellers: insiders sold $0.4 million over the past year with no buying, and GuruFocus's model put fair value at $2.74 against the $6.76 price on October 28 4.
Meanwhile, retail is buying
Stocktwits shows 7,266 watchers on the symbol and a feed that is almost uniformly bullish: posts on November 2 and 3 call the ATM "not an emergency lifeline" but an "offensive war chest," argue the company "is not obligated to sell," and predict a squeeze 8. A Reddit+5.68% — Reddit, up 5.68 percent today hub openly tracks what the program does to the share count 6. The retail mood and the company's own filing point in opposite directions, and the filing is the one with a signature on it.
What decides it
The next reading is the fourth quarter: several multimillion-dollar orders are expected to close there, none of the $100 million-plus "transformative" opportunities are in guidance, and collections must normalize 23. While the program is open, the company itself is a registered seller of up to $50 million of its own stock 23. Price sets the terms, and the price keeps falling.
