MaxLinear's AI profit is real, and borrowed: infrastructure revenue up 210%, covenant cut to $60 million

Q3 brought MaxLinear's first GAAP operating profit in years and 210% growth in AI optical infrastructure; the same evening's filings show a loosened liquidity covenant and cash still flowing out of operations. The ramp is real, and this quarter lenders financed it.

MaxLinear co-founder, chairman and chief executive Kishore Seendripu. Six days before the Q3 print, the company amended its credit facility, adding $70 million of commitments and cutting its liquidity covenant floor to $60 million.

MaxLinear−17.40% — MaxLinear, down 17.40 percent today just showed the quarter its AI pivot promised, and in the same filing quietly loosened the loan behind it. Revenue reached $218.1 million, up 72% from a year earlier 1. Infrastructure revenue, now built on optical AI data center chips, grew 210% 1. The company earned its first GAAP operating profit in at least three years, a 13.9% operating margin where it posted a loss a year ago 12.

And on October 16, six days before the print, it signed an amendment adding $70 million of commitments and taking its secured credit facility to $200 million 1. The same papers cut the floor of its liquidity covenant from $80 million to $60 million 1. The growth is real. This quarter it was also borrowed.

Three weeks ago we wrote about the company cutting prices in its fading cable business weeks after its chief executive sold $50 million of stock 3. The AI side has now answered the question that piece left open. Investors shrugged anyway: the stock fell after hours on October 22 despite beating estimates on revenue, profit and guidance, after roughly quadrupling in a year 45.

The optics ramp is now the business

The first hop is concrete. AI clusters move data between servers over fiber, and every 800-gigabit and 1.6-terabit link needs a digital signal processor to drive and recover the signal 1. MaxLinear's Keystone PAM4 DSP reached volume this quarter, with the Rushmore and Annapurna families extending the line to 1.6-terabit optical and electrical parts 1. Guidance of $240 million to $260 million for December says the ramp continues 1.

Profit arrived before cash did

The next hop, from revenue to cash, has not landed. MaxLinear earned $28.9 million in the quarter under GAAP accounting 1. Operations still consumed $13.6 million of cash, because receivables, inventory and supplier prepayments grew faster than customers paid 1. Prepaid and other current assets have more than doubled since December 7. Cash stood at $81.1 million on September 30, with $40 million already drawn on the revolver 7.

The covenant is where that shows. It counts unrestricted cash plus undrawn commitments, tested at each quarter end; the lenders set the floor at $80 million in April, then in October raised the commitments and lowered the floor to $60 million, two moves that widen how much cash the ramp can burn before the loan trips 7. The stated use of the new capacity is "working capital and general corporate purposes," with Wells Fargo+0.73% — Wells Fargo, up 0.73 percent today as collateral agent 1.

Shareholders carry what lenders will not

The filing names who holds the downside. Growth is concentrated in a small number of hyperscale customers, and the company flags the sustainability of their AI capital spending as a risk 1. Silicon Motion's−17.27% — Silicon Motion, down 17.27 percent today arbitration over the merger MaxLinear walked away from in 2023, still running in Singapore, seeks a termination fee plus damages, and possible payments sit on the company's own list of calls on its cash 7. The lenders hold collateral and fees. Those named risks sit with shareholders.

The income statement inflected this quarter; the cash flow statement has not. The bull case on this stock has rested all year on a durable earnings and cash inflection that one analyst, writing before the print, called "yet to be proven" 6. The quarter operating cash turns positive alongside profit is the quarter this turnaround stops being borrowed, and the amendment says the company and its lenders both planned for the wait.
