Micron to buy $500 million of GlobalWafers convertible bonds at 0.5% on top of a ten-year wafer deal

GlobalWafers' board approved selling Micron up to $500 million of ten-year convertible bonds at a 0.5% coupon, on the same day the wafer maker reported a quarter dented by the fire at its Novara plant in Italy. The conversion price is still unset, and it will help decide who captures the wafer repricing analysts expect in 2027 and 2028.

A fire-hit quarter and a ten-year customer

GlobalWafers−9.87% — GlobalWafers, down 9.87 percent today, the Taiwan-based supplier ranked third worldwide in silicon wafers 3, reported a third quarter dented by the fire at its Novara plant in Italy: revenue and shipments fell, yet all of its existing wafer capacity is fully utilized 12. The July 21 blaze shut Novara's 8-inch line, while the 12-inch line, the one AI chips are built on, kept running 4.

The same day, November 3, the board approved a plan to sell Micron+3.47% — Micron, up 3.47 percent today Technology up to $500 million of ten-year unsecured convertible bonds at a 0.5% annual coupon 3. Micron, the US memory maker, would be the sole subscriber, the only buyer of the bonds, alongside the ten-year supply agreement the two struck in July 3. No volumes or prices are disclosed, and shareholders must still approve the placement 35.

Micron is paying from a sold-out book

A convertible bond is a loan that can turn into GlobalWafers shares, so Micron would be a decade-long customer and a future owner of its supplier. Its own order book explains the urgency: more than 75% of 2027 production is already committed, 26 multi-year contracts cover over 35% of revenue through 2030, and after a record $54.2 billion quarter Micron guides the next to $61.5 billion 56. Micron chief executive Sanjay Mehrotra expects supply and demand to stay considerably tighter for two years 5.

The price nobody has set

Micron is moving while its own stock is being sold: down 6.2% on November 2 on doubts over AI data-center payback, then down 5.8% more at $833.59 in November 3 trading 57. If the conversion price is set into that fear, the bonds turn into GlobalWafers shares cheaply for Micron, just as analysts expect 12-inch polished wafer contracts to rise more than 40% in 2027 and GlobalWafers' average 12-inch price to climb from $92 this year to $166 by 2028 8.

The boom is not in the accounts yet. Nine-month sales fell 4.4% to NT$44.07 billion, the gap The Inference flagged when the GDR, a global depositary receipt issue, landed in September 3.

Half-percent money, and what to watch

The company's case is real. $500 million at 0.5% is nearly free capital on top of the $1.432 billion raised in September, the third-largest GDR by a Taiwanese company on record, and because new capacity still needs customer qualification, a decade of contracted demand makes the expansion safer to fund 139. Chairperson Doris Hsu calls it a shift from traditional supplier relationships toward sustained strategic partnerships 3.

Three dates decide it: the shareholder vote, the conversion price in the filing, and the fourth-quarter recovery management has promised 23. The fire cost one quarter of shipments; the conversion price will shape who gains from ten years of wafer pricing.

Kioxia's below-estimate guidance broke the shortage assumption behind Silicon Motion's record quarter and its 40% growth promise. The part of Silicon Motion that buys flash and resells it at six-month prices is now the risk, not just the opportunity.

Teradyne's Q3 revenue rose 70% on AI test demand, but the 10-Q filed on October 30 shows $539.7 million of supplier prepayments and $2.25 billion of purchase commitments against a Q4 guide that is flat sequentially. The next signal is collections, not the headline.
